Council of Europe Convention on the Co-production of Audiovisual Works in the form of Series › CHAPTER I — GENERAL PROVISIONS
Article 1
The Parties to this Convention undertake to foster international co-production of audiovisual works in the form of series, in accordance with the following provisions.

Article 2
1 This Convention shall govern relations between the Parties in the field of co-productions of audiovisual works in the form of series originating in the territory of the Parties.
2 This Convention shall apply to:
a. bilateral co-productions involving two independent co-producers established in two different Parties to the Convention, and which may involve one or more other co-producers;
and
b. multilateral co-productions involving three or more independent co-producers established in different Parties to the Convention, and which may involve one or more other co-producers.
In all cases, this Convention shall apply only on condition that the work meets the definition of an officially co-produced audiovisual work in the form of series, as defined in Article 3, sub-paragraph f, below.
3 In the case of multilateral co-productions, the provisions of this Convention shall override those of bilateral agreements between the Parties to the Convention.
4 The provisions of the bilateral agreements concluded between the Parties to this Convention, which are relevant to audiovisual works in the form of series, shall apply to bilateral co-productions unless the Parties concerned decide to apply this Convention.

Article 3
For the purposes of this Convention:
a. the term “audiovisual work in the form of a series” (hereinafter “series”) shall mean a scripted fiction, documentary or animation work, presented in a succession of episodes of any length, intended to be made available by linear or non-linear means by a media service provider;
b. the term “media service provider” shall mean the natural or legal person that has editorial responsibility for the choice of audiovisual content of the audiovisual media service, and that determines the manner in which it is organised;
c. the term “season” shall mean a coherent group of episodes in the form of a sequence usually, but not exclusively, made available over a period of twelve months;
d. the term “co-producers” shall mean audiovisual production companies, media service providers or other actors bound by a co-production contract;
e. the term “independent co-producers” shall mean audiovisual production companies that are bound by a co-production contract and qualify as independent under the domestic law provisions of their countries of establishment or, in the absence of such provisions, that satisfy the criteria of independence as set out in Appendix III of this Convention;
f. the term “officially co-produced series” (hereinafter “the official co-production”) shall mean an audiovisual work in the form of a series which falls within the scope of this Convention and which is compliant with Articles 6 to 8 under Chapter II of this Convention and the criteria laid down in Appendix I, which is an integral part of this Convention.

Article 4
1 The official co-production, as defined under Article 3, sub-paragraph f of this Convention, shall be eligible for the financial benefits granted to national works by the legislative and regulatory provisions in force in each of the Parties to this Convention that are participating in the co-production concerned.
2 The financial benefits shall be granted to each independent co-producer by the Party in which the independent co-producer is established, insofar as the conditions and limits provided for by the legislative and regulatory provisions in force in that Party are complied with.

Article 5
1 Any official co-production shall be subject to the approval of the competent authorities of the Parties in which the independent co-producers are established, after consultation between the competent authorities and in accordance with the procedures laid down in Appendix II. This appendix shall form an integral part of this Convention.
2 Applications for official co-production status shall be submitted for approval to the competent authorities according to the application procedure laid down in Appendix II. This approval shall be final except in the case of failure to comply with the initial undertakings concerning artistic, financial or technical matters.
3 Series of a blatantly pornographic nature or those that advocate discrimination, hate or violence, or that seriously violate human dignity cannot be accorded official co-production status.
4 The benefits provided by official co-production status shall be granted to independent co-producers who are deemed to possess adequate technical and financial means, and sufficient professional qualifications.
5 Each Contracting State shall designate the competent authorities mentioned above by means of a declaration made at the time of signature or when depositing its instrument of ratification, acceptance, approval or accession. This declaration may be modified at any time afterwards.

Article 6
1 In the case of bilateral co-productions, the minimum financial contribution from a co-producer or co-producers established in one Party may not be less than 10% and the largest financial contribution may not exceed 90% of the total production cost of the series.
2 In the case of multilateral co-productions, the minimum financial contribution from a co-producer or co-producers established in one Party may not be less than 5% and the maximum financial contribution may not exceed 80% of the total production cost of the series.

Article 7
1 The co-production contract must guarantee to each independent co-producer an ownership share of rights to the finished work. The allocation of shares should take into account the respective financial contributions of the independent co-producers and their creative and technical expenditures.
2 The ownership share assigned to co-producers that are not established in a Party to the Convention may not exceed a total of 30%.
3 A share of exploitation rights and revenues shall be assigned to each independent co-producer. Exploitation rights may not be licensed in perpetuity and the periods of licensing shall allow the independent co-producers to benefit from the residual value of the rights.

Article 8
1 The series is initiated by at least one independent co-producer.
2 The contribution of each of the independent co-producers shall include effective technical and artistic participation.
3 The independent co-producers shall manage and participate in key creative and production decisions.

Article 9
Media service providers and their subsidiaries involved in an official co-production shall provide audience data and information on the exploitation of series that have obtained official co-production status.
This information shall be provided to all co-producers of the series and may be collected by the competent authorities, as defined in Article 5, paragraph 5, of this Convention, as far as relevant competition law allows.

Article 10
1 A general balance must be maintained in the relations between the Parties, with regard both to the total amount invested and the artistic and technical participation in official co-productions.
2 A Party which, over a reasonable period, observes a deficit in its co-production relations with one or more other Parties may withhold its approval of a subsequent co-production until balanced relations with that Party or those Parties have been restored.

Article 11
In accordance with the laws, regulations and international obligations in force, each Party shall facilitate entry and residence, as well as the granting of work permits in its territory, for technical and artistic personnel from the other Parties that are participating in an official co-production. Similarly, each Party shall permit the temporary import and re-export of equipment necessary to the production and distribution of series falling within the scope of this Convention.

Article 12
1 Co-producing countries shall be credited in official co-productions.
2 The names of these countries shall be clearly mentioned in the credit titles, in all publicity and promotion material and when official co-productions are made available to the public.

Article 13
When an official co-production is exported to a country where imports of series are subject to quotas and one of the co-producing Parties does not have the right of free entry for its series to the importing country:
a. the official co-production shall normally be added to the quota of the country which has the majority financial participation;
b. in the case of an official co-production which comprises an equal participation from different countries, the season shall be added to the quota of the country which has the best opportunities for exporting to the importing country;
c. when the provisions of sub-paragraphs a and b above cannot be applied, the official co-production shall be entered in the quota of the Party that provides the series creator.

Article 14
When granting official co-production status, the competent authority of a Party may demand from the independent co-producer established therein a final version of the series in one of the languages of that Party.

Article 15
1 The Board of Management of the European Support Fund for the Co-production and Distribution of Creative Cinematographic and Audiovisual Works, “Eurimages” (hereinafter “the Board”), in its composition restricted to the Parties to this Convention, shall be responsible for the follow-up to this Convention.
2 Any Party to this Convention which is not a member of “Eurimages” may be represented in the Board and have one vote in any meeting convened to carry out follow-up tasks.
3 The Board, when meeting for the purpose of carrying out follow-up tasks, shall be convened by the Secretary General of the Council of Europe whenever necessary and, in any case, when a majority of the Parties requests its convocation.
4 The Board shall be promptly convened after the entry into force of the Convention in 10 States.
5 In order to promote the effective application of this Convention, the Board, when acting within the meaning of the two previous paragraphs, may:
a. make proposals to facilitate the exchange between the Parties of experience and good practice;
b. formulate its opinion on any question concerning the application and the implementation of this Convention, and make specific recommendations to the Parties in this respect.
6 In order to update the provisions of Appendices I, II and III of this Convention to ensure their continuing relevance to common practices in the series industry, amendments may be proposed by any Party, by the Committee of Ministers or by the Board in its restricted composition. These amendments shall be communicated by the Secretary General of the Council of Europe to the Parties.
7 After having consulted the Parties, the Committee of Ministers may adopt an amendment proposed in accordance with paragraph 6 of this article by the majority provided for in Article 20.d of the Statute of the Council of Europe (ETS No. 1). The amendment shall enter into force following the expiry of a period of one year after the date on which it has been forwarded to the Parties. During this period, any Party may notify the Secretary General of any objection to the entry into force of the amendment in its respect.
8 If one third of the Parties notify the Secretary General of the Council of Europe of an objection to the entry into force of the amendment, the amendment shall not enter into force.
9 If less than one third of the Parties notify the Secretary General of an objection, the amendment shall enter into force for those Parties which have not made an objection.
10 Once an amendment has entered into force in accordance with paragraphs 7 and 9 of this article, and a Party has made an objection to it, this amendment shall come into force in respect of the Party concerned on the first day of the month following the date on which the Party has notified the Secretary General of the Council of Europe of its acceptance of the amendment. A Party which has made an objection may withdraw it at any time by notifying the Secretary General of the Council of Europe.
11 If the Committee of Ministers adopts an amendment, a State may not express its consent to be bound by the Convention without accepting at the same time the amendment.

Article 16
1 This Convention shall be open for signature by the member States of the Council of Europe and the other States Parties to the European Cultural Convention, which may express their consent to be bound by:
a. signature without reservation as to ratification, acceptance or approval; or
b. signature, subject to ratification, acceptance or approval, followed by ratification, acceptance or approval.
2 Instruments of ratification, acceptance or approval shall be deposited with the Secretary General of the Council of Europe.

Article 17
1 This Convention shall enter into force on the first day of the month following the expiration of a period of three months after the date on which three States, including at least two member States of the Council of Europe, have expressed their consent to be bound by the Convention, in accordance with the provisions of Article 16.
2 In respect of any signatory State which subsequently expresses its consent to be bound by it, this Convention shall enter into force on the first day of the month following the expiration of a period of three months after the date of signature or the deposit of the instrument of ratification, acceptance or approval.

Article 18
1 After the entry into force of this Convention, the Committee of Ministers of the Council of Europe may, after consultation of the Parties, invite any State which is not a member of the Council of Europe to accede to this Convention, by a decision taken by the majority provided for in Article 20.d of the Statute of the Council of Europe and by the unanimous vote of the representatives of the Contracting States entitled to sit on the Committee of Ministers.
2 In respect of any acceding State, this Convention shall enter into force on the first day of the month following the expiration of a period of three months after the date of deposit of the instrument of accession with the Secretary General of the Council of Europe.

Article 19
1 Any State may, at the time of signature or when depositing its instrument of ratification, acceptance, approval or accession, specify the territory or territories to which this Convention shall apply.
2 Any Party may, at any later date, by a declaration addressed to the Secretary General of the Council of Europe, extend the application of this Convention to any other territory specified in the declaration. In respect of such territory, the Convention shall enter into force on the first day of the month following the expiration of a period of three months after the date of receipt of the declaration by the Secretary General.
3 Any declaration made under the two preceding paragraphs may, in respect of any territory specified in such a declaration, be withdrawn by a notification addressed to the Secretary General. The withdrawal shall become effective on the first day of the month following the expiration of a period of three months after the date of receipt of such a notification by the Secretary General.

Article 20
1 Any State may, at the time of signature or when depositing its instrument of ratification, acceptance, approval or accession, reserve the right to fix a minimum financial contribution different from those laid down in Article 6 of this Convention. No other reservation may be made.
2 Any Party which has made a reservation under the preceding paragraph may wholly or partly withdraw it by means of a notification addressed to the Secretary General of the Council of Europe.
The withdrawal shall take effect on the date of receipt of such a notification by the Secretary General.

Article 21
1 Any Party may, at any time, denounce this Convention by means of a notification addressed to the Secretary General of the Council of Europe.
2 The denunciation shall become effective on the first day of the month following the expiration of a period of six months after the date of receipt of the notification by the Secretary General.

Article 22
The Secretary General of the Council of Europe shall notify the member States of the Council of Europe and any State which has acceded to this Convention, or has been invited to do so, of:
a. any signature;
b. the deposit of any instrument of ratification, acceptance, approval or accession;
c. any date of entry into force of this Convention in accordance with Articles 17, 18 and 19;
d. any reservation and withdrawal of a reservation made in pursuance of Article 20;
e. any declaration made in accordance with Article 5, paragraph 5;
f. any denunciation notified in accordance with Article 21;
g. any other act, notification or communication relating to this Convention.
Appendices to the Council of Europe Convention on the Co-production of Audiovisual Works in the Form of Series
Appendices to the Council of Europe Convention on the Co-production of Audiovisual Works in the Form of Series
1. A fiction series qualifies as an official co-production in the sense of Article 3, sub-paragraph f, if with regard to the elements originating in the States Parties to the Convention it obtains at least 24 of the total 31 points according to the list of elements set out in Table 1.
2. Having regard to the characteristics of the co-production, the competent authorities may, after consulting each other, grant official co-production status to a work with a number of points that is less than the formally required points under paragraph 1.
3. The official co-production status is granted to a season. In the case of recurring seasons, the independent co-producers must submit an application for each season separately.

4. An animation series qualifies as an official co-production in the sense of Article 3, sub-paragraph f, if with regard to the elements originating in the States Parties to the Convention it obtains at least 26 of the total 40 points according to the list of elements set out in Table 2.
5. Having regard to the characteristics of the co-production, the competent authorities may, after consulting each other, grant official co-production status to a work with a number of points that is less than the normally required points under paragraph 4.
6. The official co-production status is granted to a season. In the case of recurring seasons, the independent co-producers must submit an application for each season separately.

7. A documentary series qualifies as an official co-production in the sense of Article 3, sub-paragraph f, if with regard to the elements originating in the States Parties to the Convention it obtains at least 50% of the total applicable points according to the list of elements set out in Table 3.
8. Having regard to the characteristics of the co-production, the competent authorities may, after consulting each other, grant official co-production status to a work with a number of points that is less than the normally required 50% of the total applicable points.
9. The official co-production status is granted to a season. In the case of recurring seasons, the independent co-producers must submit an application for each season separately.

Appendix II — Application procedure › 1 — Provisional co-production recognition
1 — Provisional co-production recognition
In order to benefit from the provisions of this Convention, the independent co-producers established in the Parties must, in due time before the start of principal photography or animation of a season, submit an application for provisional co-production status and attach the documents listed below. These documents must reach the competent authorities at the latest one month before shooting commences in order to allow them to be communicated to the authorities of the other Parties.
In this communication to the other Parties, each Party must indicate the relevant provisions of domestic law or of Appendix III to be applied to qualify as an independent co-producer under Article 3, sub-paragraph e.
Documents to be provided include:
– a declaration summarising the ownership of the finished work, with the clear indication of shares for each owner;
– the chain of title;
– a bible of the series;
– a provisional list of the technical and artistic contributions from each of the countries involved;
– a budget and a provisional financing plan of the season;
– a provisional production schedule;
– the co-production contracts or short-form agreements (“deal-memos”) made between the independent co-producers, and the contracts between the co-producers; these documents must include clauses providing for the distribution of receipts or territories between the co-producers, and between the co-producers and the media service providers.
Appendix II — Application procedure › 2 — Final co-production recognition
2 — Final co-production recognition
Final official co-production status is granted on completion of the season of the series and after examination of the following definitive production documents by the competent authorities:
– a declaration summarising the ownership of the finished work, with the clear indication of shares for each owner;
– the final script of all episodes of the season;
– the definitive list of the technical and artistic contributions from each of the countries involved;
– the final cost report of the season;
– the definitive financing plan of the season;
– the co-production contracts between co-producers and the contracts between the co-producers and the media service providers; these documents must include clauses providing for the distribution of revenues or territories between the co-producers, and between the co-producers and the media service providers.
The competent authorities can request any other document necessary for the evaluation of the application in accordance with their national legislation.
The application and other documents shall be presented, if possible, in the language of the competent authorities to which they are submitted.
Appendix III — Independence criteria
Appendix III — Independence criteria
In the absence of domestic law provisions and for the application of Article 3, sub-paragraph e, the competent authorities of the Parties concerned shall define an audiovisual production company as independent with reference to the following criteria:
– the company is not majority controlled, either directly or indirectly, by a media service provider;
– the company does not solely or to a large extent depend on a single or group of media service providers for the financing of its works; it assumes the responsibility for the delivery of its works and can make decisions on the distribution using a variety of players.

Artikel 1
De partijen bij dit Verdrag verbinden zich ertoe de internationale coproductie van audiovisuele werken in de vorm van series te bevorderen, overeenkomstig de volgende bepalingen.

Artikel 2
1 Dit Verdrag regelt de betrekkingen tussen de partijen op het gebied van coproducties van audiovisuele werken in de vorm van series die hun oorsprong vinden op het grondgebied van de partijen.
2 Dit Verdrag is van toepassing op:
a. bilaterale coproducties waarbij twee onafhankelijke coproducenten betrokken zijn die in twee verschillende partijen bij het Verdrag zijn gevestigd en waarbij een of meer andere coproducenten betrokken kunnen zijn;
en
b. multilaterale coproducties waarbij drie of meer onafhankelijke coproducenten betrokken zijn die in verschillende partijen bij het Verdrag zijn gevestigd en waarbij een of meer andere coproducenten betrokken kunnen zijn.
In alle gevallen is dit Verdrag slechts van toepassing op voorwaarde dat het werk voldoet aan de omschrijving van een officiële coproductie van een audiovisueel werk in de vorm van een serie als omschreven in artikel 3, onderdeel f, hieronder.
3 In het geval van multilaterale coproducties hebben de bepalingen van dit Verdrag voorrang boven die van bilaterale verdragen tussen de partijen bij het Verdrag.
4 De bepalingen van de tussen de partijen bij dit Verdrag gesloten bilaterale overeenkomsten die relevant zijn voor audiovisuele werken in de vorm van series, zijn van toepassing op bilaterale coproducties, tenzij de betrokken partijen besluiten dit Verdrag toe te passen.

Artikel 3
Voor de toepassing van dit Verdrag:
a. wordt onder „audiovisueel werk in de vorm van een serie” (hierna „serie” genoemd) verstaan een gescript fictief, documentair of animatiewerk, gepresenteerd in een opeenvolging van afleveringen van elke lengte, dat bestemd is om door een aanbieder van mediadiensten lineair of niet-lineair ter beschikking te worden gesteld;
b. wordt onder „aanbieder van mediadiensten” verstaan de natuurlijke of rechtspersoon die de redactionele verantwoordelijkheid draagt voor de keuze van de audiovisuele inhoud van de audiovisuele mediadienst en die bepaalt hoe deze is georganiseerd;
c. wordt onder „seizoen” verstaan een samenhangende groep afleveringen in de vorm van een reeks die gewoonlijk, maar niet uitsluitend, gedurende een periode van twaalf maanden beschikbaar wordt gesteld;
d. wordt onder „coproducenten„ verstaan audiovisuele productiebedrijven, aanbieders van mediadiensten of andere actoren die gebonden zijn door een coproductiecontract;
e. wordt onder „onafhankelijke coproducenten„ verstaan audiovisuele productiebedrijven die gebonden zijn door een coproductiecontract en die overeenkomstig de nationale wetgeving van hun land van vestiging als onafhankelijk kunnen worden aangemerkt of, bij gebreke van dergelijke bepalingen, die voldoen aan de onafhankelijkheidscriteria vervat in Aanhangsel III van dit Verdrag;
f. wordt onder „officieel gecoproduceerde serie„ (hierna „de officiële coproductie„ genoemd) verstaan een audiovisueel werk in de vorm van een serie dat binnen het toepassingsgebied van dit Verdrag valt en in overeenstemming is met de artikelen 6 tot en met 8 van hoofdstuk II van dit Verdrag en de criteria vervat in Aanhangsel I, dat een integrerend deel van dit Verdrag uitmaakt.

Artikel 4
1 De officiële coproductie, zoals omschreven in artikel 3, onderdeel f, van dit Verdrag, komt in aanmerking voor de financiële voordelen die aan nationale werken worden toegekend door de bepalingen van de wet- en regelgeving die van kracht zijn in elk van de partijen bij dit Verdrag die aan de desbetreffende coproductie deelnemen.
2 De financiële voordelen worden aan elke onafhankelijke coproducent toegekend door de partij waarin de coproducent is gevestigd, voor zover de voorwaarden en de grenzen bepaald in de bepalingen van de wet- en regelgeving die in die partij van kracht is worden nageleefd.

Artikel 5
1 Elke officiële coproductie dient te worden goedgekeurd door de bevoegde autoriteiten van de partijen waarin de onafhankelijke coproducenten zijn gevestigd, na overleg tussen de bevoegde autoriteiten en in overeenstemming met de procedures vervat in Aanhangsel II. Dit Aanhangsel vormt een integrerend onderdeel van dit Verdrag.
2 Aanvragen voor het verkrijgen van de officiële coproductiestatus dienen ter goedkeuring bij de bevoegde autoriteiten te worden ingediend overeenkomstig de aanvraagprocedure vervat in Aanhangsel II. Deze goedkeuring is onherroepelijk, behalve indien de aanvankelijk aangegane verplichtingen op artistiek, financieel of technisch gebied niet worden nagekomen.
3 Aan series van duidelijk pornografische aard of projecten die aanzetten tot discriminatie, haat of geweld of waarin de menselijke waardigheid ernstig wordt aangetast, kan geen officiële coproductiestatus worden verleend.
4 De voordelen van de officiële coproductiestatus worden toegekend aan onafhankelijke coproducenten die worden geacht te beschikken over toereikende technische en financiële middelen en voldoende vakbekwaamheid.
5 Elke verdragsluitende staat wijst de hierboven vermelde bevoegde autoriteiten aan door middel van een verklaring, afgelegd bij de ondertekening of bij de nederlegging van zijn akte van bekrachtiging, aanvaarding, goedkeuring of toetreding. Deze verklaring kan daarna te allen tijde worden gewijzigd.

Artikel 6
1 In het geval van een bilaterale coproductie mag de kleinste financiële bijdrage van een coproducent of coproducenten gevestigd in een partij niet minder dan 10% bedragen en de grootste financiële bijdrage niet meer dan 90% bedragen van de totale productiekosten van de serie.
2 In het geval van een multilaterale coproductie mag de kleinste financiële bijdrage van een coproducent of coproducenten gevestigd in een partij niet minder dan 5% bedragen en de grootste financiële bijdrage niet meer dan 80% bedragen van de totale productiekosten van een serie.

Artikel 7
1 Het coproductiecontract dient elke onafhankelijke coproducent een eigendomsaandeel in de rechten op het voltooide werk te garanderen. Bij de toewijzing van eigendomsaandelen dient rekening te worden gehouden met de respectieve financiële bijdragen van de onafhankelijke coproducenten en hun creatieve en technische uitgaven.
2 Het eigendomsaandeel dat wordt toegewezen aan coproducenten die niet in een partij bij het Verdrag zijn gevestigd, mag in totaal niet meer dan 30% bedragen.
3 Aan elke onafhankelijke coproducent wordt een deel van de exploitatierechten en -inkomsten toegewezen. Exploitatierechten mogen niet voor altijd in licentie worden gegeven en de licentieperioden dienen de onafhankelijke coproducenten in staat te stellen te profiteren van de restwaarde van de rechten.

Artikel 8
1 De serie wordt geïnitieerd door ten minste één onafhankelijke coproducent.
2 De inbreng van elke onafhankelijke coproducent dient een wezenlijke technische en artistieke bijdrage te omvatten.
3 De onafhankelijke coproducenten dragen zorg voor het beheer van en nemen deel aan belangrijke creatieve en productiebeslissingen.

Artikel 9
Aanbieders van mediadiensten en hun dochterondernemingen die betrokken zijn bij een officiële coproductie verstrekken publieksgegevens en informatie over de exploitatie van series die de officiële coproductiestatus hebben verkregen.
Deze informatie wordt verstrekt aan alle coproducenten van de serie en kan worden verzameld door de bevoegde autoriteiten, zoals omschreven in artikel 5, vijfde lid, van dit Verdrag, voor zover het toepasselijke mededingingsrecht dit toestaat.

Artikel 10
1 Er dient een algemeen evenwicht te worden gehandhaafd in de betrekkingen tussen de partijen, zowel wat betreft het totaal geïnvesteerde bedrag, als wat betreft de artistieke en technische deelneming aan officiële coproducties.
2 Een partij die na een redelijke periode vaststelt dat er sprake is van onevenwichtige betrekkingen op het gebied van coproducties met één andere partij of meer andere partijen, kan weigeren haar goedkeuring te verlenen aan een volgende coproductie totdat het evenwicht in de betrekkingen met die partij of met deze partijen is of zijn hersteld.

Artikel 11
In overeenstemming met de geldende wet- en regelgeving en internationale verplichtingen vergemakkelijkt elke partij de binnenkomst en het verblijf, alsmede het verlenen van werkvergunningen op haar grondgebied, voor technisch en artistiek personeel uit andere partijen die aan een officiële coproductie deelnemen. Op dezelfde wijze staat elke partij de tijdelijke invoer en wederuitvoer toe van apparatuur die noodzakelijk is voor de productie en distributie van series die binnen de reikwijdte van dit Verdrag vallen.

Artikel 12
1 De coproducerende landen dienen in de officiële coproducties te worden vermeld.
2 De namen van deze landen dienen duidelijk te worden vermeld in de titelrollen, in al het reclame- en promotiemateriaal en wanneer officiële coproducties voor het publiek beschikbaar worden gesteld.

Artikel 13
Wanneer een officiële coproductie wordt uitgevoerd naar een land waar quota gelden voor de invoer van series en één van de coproducerende partijen voor haar series niet beschikt over het recht van vrije toegang tot het invoerende land:
a. wordt de officiële coproductie in beginsel toegevoegd aan de quota van het land dat de grootste financiële bijdrage levert;
b. wordt het seizoen, in het geval van een officiële coproductie waarvoor door verschillende landen een gelijke bijdrage is geleverd, toegevoegd aan de quota van het land dat de beste mogelijkheden heeft voor uitvoer naar het invoerende land;
c. wordt de officiële coproductie wanneer de bepalingen van de onderdelen a en b hierboven niet kunnen worden toegepast, opgenomen in de quota van de partij die de maker van de serie levert.

Artikel 14
Wanneer de officiële coproductiestatus wordt verleend, kan de bevoegde autoriteit van een partij van de daarin gevestigde onafhankelijke coproducent een definitieve versie van de serie eisen in één van de talen van die partij.

Artikel 15
1 De Raad van Bestuur van het Europees fonds voor de ondersteuning van coproductie en distributie van oorspronkelijke cinematografische en audiovisuele werken „Eurimages” (hierna „de Raad” genoemd), in zijn samenstelling beperkt tot de partijen bij dit Verdrag, is verantwoordelijk voor de follow-up van dit Verdrag.
2 Elke partij bij dit Verdrag die geen lid is van „Eurimages„ kan in de Raad vertegenwoordigd zijn en één stem hebben in elke vergadering die wordt bijeengeroepen om follow-uptaken uit te voeren.
3 Wanneer de Raad bijeenkomt met het oog op de uitvoering van follow-uptaken, roept de Secretaris-Generaal van de Raad van Europa de Raad bijeen wanneer dat nodig is en, in elk geval, wanneer een meerderheid van de partijen om de bijeenroeping verzoekt.
4 De Raad wordt onverwijld bijeengeroepen na de inwerkingtreding van het Verdrag in 10 staten.
5 Teneinde de doeltreffende toepassing van dit Verdrag te bevorderen, kan de Raad, wanneer deze handelt in de zin van de twee voorgaande leden:
a. voorstellen doen om de uitwisseling van ervaringen en goede praktijken tussen de partijen te vergemakkelijken;
b. een standpunt innemen over elke kwestie die verband houdt met de toepassing en implementatie van dit Verdrag en in dit opzicht specifieke aanbevelingen doen aan de partijen.
6 Teneinde de bepalingen van de Aanhangsels I, II en III bij dit Verdrag te actualiseren om hun relevantie voor de gebruikelijke praktijken in de serie-industrie te blijven waarborgen, kan elke partij, het Comité van Ministers of de Raad in de beperkte samenstelling wijzigingen voorstellen. Deze wijzigingen worden door de Secretaris-Generaal van de Raad van Europa medegedeeld aan de partijen.
7 Na raadpleging van de partijen kan het Comité van Ministers een overeenkomstig het zesde lid van dit artikel, voorgestelde wijziging aannemen met de in artikel 20, onderdeel d, van het Statuut van de Raad van Europa (ETS nr. 1) voorziene meerderheid. De wijziging treedt in werking na het verstrijken van een tijdvak van een jaar na de datum waarop deze is toegestuurd aan de partijen. Gedurende dit tijdvak kan elke partij de Secretaris-Generaal in kennis stellen van enig bezwaar tegen de inwerkingtreding van de wijziging ten aanzien van haar.
8 Indien een derde van de partijen de Secretaris-Generaal van de Raad van Europa in kennis stelt van een bezwaar tegen de inwerkingtreding van de wijziging, treedt de wijziging niet in werking.
9 Indien minder dan een derde van de partijen kennisgeving hebben gedaan van bezwaar, treedt de wijziging in werking voor de partijen die geen kennisgeving van bezwaar hebben gedaan.
10 Indien een wijziging overeenkomstig het zevende en negende lid van dit artikel in werking is getreden en een partij ertegen bezwaar heeft gemaakt, wordt deze wijziging voor de desbetreffende partij van kracht op de eerste dag van de maand die volgt op de datum waarop de partij de Secretaris-Generaal van de Raad van Europa in kennis heeft gesteld van haar aanvaarding van de wijziging. Een partij die bezwaar heeft ingediend kan dit te allen tijde intrekken door middel van een kennisgeving aan de Secretaris-Generaal van de Raad van Europa.
11 Indien een wijziging is aanvaard door het Comité van Ministers, kan een staat zijn instemming te worden gebonden door het Verdrag niet tot uitdrukking brengen zonder tegelijkertijd de wijziging te aanvaarden.

Artikel 16
1 Dit Verdrag staat open voor ondertekening door de lidstaten van de Raad van Europa en door de andere staten die partij zijn bij het Europees Cultureel Verdrag, die hun instemming door het Verdrag gebonden te worden tot uitdrukking kunnen brengen door:
a. ondertekening zonder voorbehoud ten aanzien van bekrachtiging, aanvaarding of goedkeuring; of
b. ondertekening onder voorbehoud van bekrachtiging, aanvaarding of goedkeuring, gevolgd door bekrachtiging, aanvaarding of goedkeuring.
2 De akten van bekrachtiging, aanvaarding of goedkeuring worden nedergelegd bij de Secretaris-Generaal van de Raad van Europa.

Artikel 17
1 Dit Verdrag treedt in werking op de eerste dag van de maand die volgt op het verstrijken van een tijdvak van drie maanden na de datum waarop drie staten, waaronder ten minste twee lidstaten van de Raad van Europa, hun instemming door het Verdrag te worden gebonden tot uitdrukking hebben gebracht in overeenstemming met de bepalingen van artikel 16.
2 Ten aanzien van een ondertekenende staat die later zijn instemming door het Verdrag te worden gebonden tot uitdrukking brengt, treedt dit Verdrag in werking op de eerste dag van de maand die volgt op het verstrijken van een tijdvak van drie maanden na de datum van ondertekening of de nederlegging van de akte van bekrachtiging, aanvaarding of goedkeuring.

Artikel 18
1 Na de inwerkingtreding van dit Verdrag kan het Comité van Ministers van de Raad van Europa, na raadpleging van de partijen, elke staat die geen lid is van de Raad van Europa uitnodigen tot dit Verdrag toe te treden, zulks bij een besluit dat is genomen met de meerderheid voorzien in artikel 20, onderdeel d, van het Statuut van de Raad van Europa en met eenparigheid van stemmen van de vertegenwoordigers van de verdragsluitende staten die recht hebben op een zetel in het Comité van Ministers.
2 Ten aanzien van iedere toetredende staat treedt dit Verdrag in werking op de eerste dag van de maand die volgt op het verstrijken van een periode van drie maanden na de datum van nederlegging van de akte van toetreding bij de Secretaris-Generaal van de Raad van Europa.

Artikel 19
1 Elke staat kan, op het tijdstip van de ondertekening of bij de nederlegging van zijn akte van bekrachtiging, aanvaarding, goedkeuring of toetreding, het grondgebied of de grondgebieden waarop dit Verdrag van toepassing is nader aanduiden.
2 Elke partij kan op een later tijdstip door middel van een verklaring gericht aan de Secretaris-Generaal van de Raad van Europa, de toepassing van dit Verdrag uitbreiden tot elk ander grondgebied dat in de verklaring wordt genoemd. Ten aanzien van een dergelijk grondgebied treedt het Verdrag in werking op de eerste dag van de maand die volgt op het verstrijken van een tijdvak van drie maanden na de datum van ontvangst van de verklaring door de Secretaris-Generaal.
3 Elke krachtens de twee voorgaande leden gedane verklaring kan, met betrekking tot elk in een dergelijke verklaring genoemd grondgebied, worden ingetrokken door middel van een aan de Secretaris-Generaal van de Raad van Europa gerichte kennisgeving. De intrekking wordt van kracht op de eerste dag van de maand die volgt op het verstrijken van een tijdvak van drie maanden na de datum van ontvangst van een dergelijke kennisgeving door de Secretaris-Generaal.

Artikel 20
1 Elke staat kan op het tijdstip van ondertekening of bij de nederlegging van zijn akte van bekrachtiging, aanvaarding, goedkeuring of toetreding zich het recht voorbehouden een andere minimale financiële bijdrage vast te stellen dan die welke in artikel 6 van dit Verdrag zijn vastgelegd. Andere voorbehouden mogen niet worden gemaakt.
2 Elke partij die ingevolge het voorgaande lid een voorbehoud heeft gemaakt, kan dit geheel of gedeeltelijk intrekken door middel van een kennisgeving gericht aan de Secretaris-Generaal van de Raad van Europa.
De intrekking wordt van kracht op de datum van ontvangst van deze kennisgeving door de Secretaris-Generaal.

Artikel 21
1 Elke partij kan dit Verdrag te allen tijde opzeggen door middel van een kennisgeving gericht aan de Secretaris-Generaal van de Raad van Europa.
2 De opzegging wordt van kracht op de eerste dag van de maand die volgt op het verstrijken van een tijdvak van zes maanden na de datum van ontvangst van de kennisgeving door de Secretaris-Generaal.

Artikel 22
De Secretaris-Generaal van de Raad van Europa stelt de lidstaten van de Raad van Europa en elke staat die is toegetreden of uitgenodigd toe te treden tot dit Verdrag in kennis van:
a. elke ondertekening;
b. de nederlegging van elke akte van bekrachtiging, aanvaarding, goedkeuring of toetreding;
c. elke datum van inwerkingtreding van dit Verdrag in overeenstemming met de artikelen 17, 18 en 19;
d. elk voorbehoud en elke intrekking van een voorbehoud gemaakt ingevolge artikel 20;
e. elke verklaring afgelegd overeenkomstig artikel 5, vijfde lid;
f. elke opzegging waarvan kennisgeving is gedaan overeenkomstig artikel 21;
g. elke andere akte, kennisgeving of mededeling met betrekking tot dit Verdrag.

1. Een fictieserie wordt als een officiële coproductie in de zin van artikel 3, onderdeel f, aangemerkt indien deze met betrekking tot de elementen die hun oorsprong vinden in de staten die partij zijn bij het Verdrag, ten minste 24 punten op een mogelijk totaal van 31 behaalt uit de lijst van elementen vervat in tabel 1.
2. Gelet op de kenmerken van de coproductie kunnen de bevoegde autoriteiten, na onderling overleg, een werk dat niet het krachtens het eerste lid formeel vereiste aantal punten heeft behaald de officiële coproductiestatus verlenen.
3. De officiële coproductiestatus wordt toegekend aan een seizoen. In het geval van vervolgseizoenen dienen de onafhankelijke coproducenten voor elk seizoen afzonderlijk een aanvraag in te dienen.

4. Een animatieserie wordt als een officiële coproductie in de zin van artikel 3, onderdeel f, aangemerkt indien deze met betrekking tot de elementen die hun oorsprong vinden in de staten die partij zijn bij het Verdrag, ten minste 26 punten op een mogelijk totaal van 40 behaalt uit de lijst van elementen vervat in tabel 2.
5. Gelet op de kenmerken van de coproductie kunnen de bevoegde autoriteiten, na onderling overleg, een werk dat niet het krachtens het vierde lid formeel vereiste aantal punten heeft behaald de officiële coproductiestatus verlenen.
6. De officiële coproductiestatus wordt toegekend aan een seizoen. In het geval van vervolgseizoenen dienen de onafhankelijke coproducenten voor elk seizoen afzonderlijk een aanvraag in te dienen.

7. Een documentaireserie wordt als een officiële coproductie in de zin van artikel 3, onderdeel f, aangemerkt indien deze met betrekking tot de elementen die hun oorsprong vinden in de staten die partij zijn bij het Verdrag, ten minste 50% behaalt op het mogelijke totaal aantal toepasselijke punten volgens de lijst van elementen vervat in tabel 3.
8. Gelet op de kenmerken van de coproductie kunnen de bevoegde autoriteiten, na onderling overleg, een werk dat niet het normaliter vereiste aantal van 50% van het totale aantal toepasselijke punten heeft behaald de officiële coproductiestatus verlenen.
9. De officiële coproductiestatus wordt toegekend aan een seizoen. In het geval van vervolgseizoenen dienen de onafhankelijke coproducenten voor elk seizoen afzonderlijk een aanvraag in te dienen.

1 — Voorlopige erkenning van coproducties
De in de partijen gevestigde coproducenten dienen, willen ze onder de bepalingen van het Verdrag vallen, ruim voor de aanvang van de eerste opnamedag of de eerste uitvoering van animatiewerkzaamheden een aanvraag in te dienen voor toekenning van de voorlopige coproductiestatus en daarbij de onderstaande documenten te voegen. Deze documenten dienen de bevoegde autoriteiten uiterlijk één maand vóór het begin van de opnames te bereiken, zodat deze aan de autoriteiten van de andere partijen kunnen worden meegedeeld.
In deze mededeling aan de andere partijen vermeldt elke partij de relevante bepalingen van de nationale wetgeving of Aanhangsel III die dienen te worden toegepast om als onafhankelijke coproducent in de zin van artikel 3, onderdeel e, te worden aangemerkt.
De te verstrekken documenten omvatten:
– een verklaring waarin de eigendom van het voltooide werk wordt samengevat, met duidelijke vermelding van de aandelen per eigenaar;
– overzicht van eigendomsoverdracht;
– functioneel-designdocument van de serie;
– een voorlopige lijst van de technische en artistieke bijdragen van elk van de betrokken landen;
– een begroting en voorlopig financieel plan voor het seizoen;
– een voorlopig productieschema;
– de coproductiecontracten of kortetermijnovereenkomsten („deal-memo’s”) tussen de onafhankelijke coproducenten en de contracten tussen de coproducenten; deze documenten dienen clausules te bevatten die voorzien in de verdeling van opbrengsten of territoria tussen de coproducenten en tussen de coproducenten en de aanbieders van mediadiensten.

2 — Definitieve erkenning van coproducties
De definitieve coproductiestatus wordt verleend na voltooiing van het seizoen van de serie en na onderzoek van de volgende definitieve productiedocumenten door de bevoegde autoriteiten:
– een verklaring waarin de eigendom van het voltooide werk wordt samengevat, met duidelijke vermelding van de aandelen per eigenaar;
– het definitieve scenario van alle afleveringen van het seizoen;
– de definitieve lijst van de technische en artistieke bijdragen van elk van de betrokken landen;
– het definitieve kostenoverzicht van het seizoen;
– het definitieve financieringsplan van het seizoen;
– de coproductiecontracten tussen de coproducenten en de contracten tussen de coproducenten en de aanbieders van mediadiensten; deze documenten dienen clausules te bevatten die voorzien in de verdeling van opbrengsten of territoria tussen de coproducenten en tussen de coproducenten en de aanbieders van mediadiensten.
De bevoegde autoriteiten kunnen elk ander document verlangen dat nodig is om de aanvraag te beoordelen in overeenstemming met de nationale wetgeving.
De aanvraag en overige documenten dienen, indien mogelijk, te zijn gesteld in de taal van de bevoegde autoriteiten waarbij ze worden ingediend.

Aanhangsel III — Onafhankelijkheidscriteria
Bij gebrek aan bepalingen in nationale wetgeving en voor de toepassing van artikel 3, onderdeel e, definiëren de bevoegde autoriteiten van de betrokken partijen een audiovisueel productiebedrijf als onafhankelijk aan de hand van de volgende criteria:
– de onderneming wordt niet direct of indirect door een aanbieder van mediadiensten door een meerderheidsbelang gecontroleerd;
– de onderneming is voor de financiering van haar werkzaamheden niet alleen of voor een groot deel afhankelijk van een enkele of een groep aanbieders van mediadiensten; zij neemt de verantwoordelijkheid voor de levering van haar werken op zich en kan beslissingen nemen over de distributie via verschillende spelers.
