Agreement establishing the Common Fund for Commodities › CHAPTER I — DEFINITIONS
Article 1
For the purpose of this Agreement:
1. “Capital” means capital of the Fund as specified in article 8, paragraph 1.
2. “Financial Intervention” means any grant, loan or other credit instrument, investment in equity, debt or investment funds, or any other form of financial intervention or contribution, except loan guarantees, that the Governing Council shall approve on a general basis or that the Executive Board shall approve for any individual case, for financing by the Fund under its Operations Account activities.
3. “Fund” means the Common Fund for Commodities established by this Agreement.
4. “International Commodity Body” (hereinafter referred to as ICB) means a body designated by the Executive Board in accordance with the criteria set out in schedule C, for the purpose of the Fund’s Operations Account activities.
5. “Shares” means the shares of Capital specified in article 8, paragraph 1.
6. “Highly Qualified Majority” means at least three fourths of all votes cast.
7. “Qualified Majority” means at least two thirds of all votes cast.
8. “Simple Majority” means more than half of all votes cast.
9. “Total voting power” means the sum of the votes held by all the Members of the Fund.
10. “Trust Fund” means any amount of cash and/or number of other financial instruments of another party or parties, which is administered and/or managed by the Fund.
11. “Unit of Account” means the unit of account of the Fund as defined in accordance with article 7, paragraph 1.
12. “Usable Currencies” means (a) the Japanese yen, the pound sterling, the Euro, the United States dollar and any other currency which has been designated from time to time by a competent international monetary organization as being in fact widely used to make payments for international transactions and widely traded in the principal exchange markets, and (b) any other freely available and effectively usable currency which the Executive Board may designate by a Qualified Majority after the approval of the country whose currency the Fund proposes to designate as such. Currencies may be removed from the list of Usable Currencies by the Executive Board by a Qualified Majority.
13. “Votes cast” means affirmative and negative votes.

Article 2
The objectives of the Fund shall be:
a) To serve as a key instrument in attaining the agreed objectives of the Integrated Programme for Commodities as embodied in resolution 93(IV) of UNCTAD;
b) To promote the development of the commodity sector and to contribute to sustainable development in its three dimensions i.e. social, economic and environmental; acknowledging the diversity of ways towards sustainable development and in this regard recall that each country has the primary responsibility for its own development and the right to determine its own development paths and appropriate strategies.

Article 3
To further its objectives as stated in article 2, the Fund shall exercise the following functions:
a) To mobilize resources and to finance measures and actions in the field of commodities as hereinafter provided;
b) To establish partnerships to encourage synergies through co-operation and implementation of commodity development activities;
c) To operate as a service provider;
d) To disseminate knowledge and to provide information on new and innovative approaches in the field of commodities;
e) To perform other functions as decided by the Governing Council.

Article 4
Membership in the Fund shall be open to:
a) All States Members of the United Nations or of any of its specialized agencies or of the International Atomic Energy Agency; and
b) Any intergovernmental organization which exercises competence in fields of activity of the Fund. Such intergovernmental organizations shall not be required to undertake any financial obligations to the Fund; nor shall they hold any votes.

Article 5
The Members of the Fund (hereinafter referred to as Members) shall be:
a) Those States which have ratified, accepted or approved this Agreement on or prior to its date of entry into force;
b) Those States which have acceded to this Agreement in accordance with article 56;
c) Those intergovernmental organizations referred to in article 4 (b) which have ratified, accepted or approved this Agreement on or prior to its date of entry into force;
d) Those intergovernmental organizations referred to in article 4 (b) which have acceded to this Agreement in accordance with article 56.

Article 6
No Member shall be liable, by reason only of its membership, for acts or obligations of the Fund.

Article 7
1 The Unit of Account of the Fund shall be as defined in schedule F.
2 The Fund shall hold, and conduct its financial transactions in Usable Currencies. No Member shall maintain or impose restrictions on the holding, use or exchange by the Fund of Usable Currencies deriving from:
a) Payment of subscriptions of Shares of Capital;
b) Payment of voluntary contributions;
c) Borrowing;
d) Payment on account of principal, income, interest or other charges in respect of loans or investments made out of any of the funds referred to in this paragraph.
3 The Executive Board shall determine the method of valuation of Usable Currencies, in terms of the Unit of Account, in accordance with prevailing international monetary practice.

Article 8
1 The capital of the Fund (referred to herein as Capital) shall be divided into 37,000 Shares to be issued by the Fund, having a par value of 7,566.47145 Units of Account each and a total value of 279,959,444 Units of Account.
2 Shares of Capital shall be available for subscription only by Members in accordance with the provisions of article 9.
3 The Shares of Capital:
a) Shall, if necessary, be increased by the Governing Council upon the accession of any State under article 56;
b) May be increased by the Governing Council in accordance with article 11.
4 If the Governing Council makes available for subscription unsubscribed Shares of Capital pursuant to article 11, paragraph 2, or increases the Shares of Capital pursuant to paragraph 3 (b) of this article, each Member shall have the right, but shall not be required, to subscribe such Shares.

Article 9
1 Each Member referred to in article 5 (a) shall maintain a subscription, as set forth in schedule A, of:
a) 100 Shares; and
b) Any additional Shares.
2 Each Member referred to in article 5 (b) shall subscribe:
a) 100 Shares; and
b) Any additional Shares to be determined by the Governing Council by a Qualified Majority in a manner consistent with the allocation of Shares in schedule A and in accordance with the terms and conditions agreed pursuant to article 56.
3 Each Member may on a voluntary basis allocate to the Operations Account a part of its subscription under, respectively, paragraph 1 (a) or 2 (a) of this article, as well as such part or parts of its subscription under, respectively, paragraph 1 (b) or 2 (b) as the Governing Council in consensus shall allow at the request of such Member.
4 In addition to its mandatory subscription pursuant to article 9, paragraph 1 or 2 respectively, each Member may at its own discretion request the Governing Council to make available for such Member for subscription any number of Shares of Capital as referred to in article 8, that remain unsubscribed as of the date of such request. The payment of any Shares so subscribed shall take place on terms and conditions to be agreed between the Governing Council and the Member concerned.
5 Shares of Capital shall not be pledged or encumbered by Members in any manner whatsoever and shall be transferable only to the Fund.

Article 10
1 Payments of Shares of Capital subscribed by each Member shall be made:
a) In any Usable Currency at the rate of conversion between that Usable Currency and the Unit of Account as at the date of payment; or
b) In a Usable Currency selected by that Member at the time of deposit of its instrument of ratification, acceptance or approval, and at the rate of conversion between that Usable Currency and the Unit of Account as at the date of this Agreement.
At the time of deposit of its instrument of ratification, acceptance or approval, each Member shall select one of the procedures above, which shall apply to all such payments.
2 When undertaking any review in accordance with article 11, paragraph 1, the Governing Council shall review the operation of the method of payment referred to in paragraph 1 of this article, in the light of exchange-rate fluctuations, and, taking into account developments in the practice of international lending institutions, shall decide by a Highly Qualified Majority on changes, if any, in the method of payment of subscriptions of any additional Shares of Capital subsequently issued in accordance with article 11, paragraph 2.
3 Each Member referred to in article 5 (a) shall:
a) Have paid 30 per cent of its total subscription of Shares within 60 days after the entry into force of this Agreement, or within 30 days after the date of deposit of its instrument of ratification, acceptance or approval, whichever was later;
b) One year after the payment provided for in subparagraph (a) above, have paid 20 per cent of its total subscription of Shares and deposited with the Fund irrevocable, non-negotiable, non-interest-bearing promissory notes in an amount of 10 per cent of its total subscription of Shares. Such notes shall be encashed as and when decided by the Governing Council by a Qualified Majority;
c) Two years after the payment provided for in subparagraph (a) above, have deposited with the Fund irrevocable, non-negotiable, non-interest-bearing promissory notes in an amount of 40 per cent of its total subscription of Shares.
Such notes shall be encashed as and when decided by the Governing Council by a Qualified Majority, except that the promissory notes in respect of Shares allocated to the Operations Account shall be encashed as and when decided by the Executive Board.
4 Calls on Shares of Capital shall be made pro rata from all Members, except as provided for in paragraph 3 (c) of this article.
5 Special arrangements for payment of subscriptions of Shares of Capital by the least developed countries are set forth in schedule B.
6 Subscription of Shares of Capital may, when relevant, be paid by the appropriate agencies of Members concerned.

Article 11
1 The Governing Council may review, at such intervals as it may deem appropriate, the adequacy of the Capital available to the Capital Account.
2 As a result of any review under paragraph 1 of this article, the Governing Council may decide to make available for subscription unsubscribed Shares or to issue additional Shares of Capital on a basis of assessment to be decided by the Governing Council.
3 Decisions by the Governing Council under this article shall be adopted by a Highly Qualified Majority but shall not come into force until accepted by all Members. Acceptance shall be deemed to have been given unless any Member notifies its objection to the Managing Director in writing within six months after the adoption of the decision. Such period of time may be extended by the Governing Council at the time of the adoption of the decision, at the request of any Member.

Article 12
1 The Fund may accept voluntary contributions from Members and other sources. Such contributions shall be paid in Usable Currencies.
2 The Governing Council may review the adequacy of the resources of the Operations Account at such times as it decides. In the light of any such reviews, the Governing Council may decide to replenish the resources of the Operations Account and make the necessary arrangements. Any such replenishments shall be voluntary for Members and in accordance with this Agreement.
3 Voluntary contributions may, at the discretion of the contributor, be made with or without restrictions as to their use by the Fund.

Article 13
1 The Governing Council shall establish a Collateral Reserve, the resources of which shall be employed as collateral for borrowings made by the Fund.
2 The resources of the Collateral Reserve shall consist of:
a) Earnings of the Capital Account, net of administrative expenses, in such amounts as the Governing Council shall determine annually;
b) Voluntary contributions to the Collateral Reserve from Members; and
c) Any other resources made available for the Collateral Reserve by any party.
3 Notwithstanding the provisions of paragraphs 1 and 2 of this article, the Governing Council shall decide by a Highly Qualified Majority how to dispose of any net earnings of the Capital Account not allocated to the Collateral Reserve.

Article 14
1 The Fund shall not borrow or otherwise incur debt obligations in any form except as in accordance with paragraph 2 of this article.
2 For the purpose of effective administration of its operations, the Fund may incur short term liabilities for the purpose of:
(i) settlement of financial transactions or other treasury operations;
(ii) liquidity needs.
3 The total debt of the Fund shall at no time exceed the resources of the Collateral Reserve.

Article 15
1 The Fund may accept financial resources from any party or parties for the purpose of establishment of a Trust Fund provided that the resources of such Trust Fund shall be applied to further the objectives of the Fund as set out in article 2.
2 The resources of each Trust Fund shall be held in a separate account, segregated from the resources of the Fund and those of other Trust Funds.
3 The terms and conditions for utilization of the resources of each Trust Fund and for the Fund’s administration and/or management thereof shall, after approval by the Executive Board, be laid down in an agreement between the Fund and the owner or owners of the resources of the Trust Fund.

Article 16
A. Use of resources
1 The resources and facilities of the Fund shall be used exclusively to achieve its objectives and fulfil its functions.
B. Two accounts
2 The Fund shall establish, and maintain its resources in two separate Accounts: a Capital Account, with resources as provided for in article 17, paragraph 1, and an Operations Account, with resources as provided for in article 18, paragraph 1. Such separation of Accounts shall be reflected in the financial statements of the Fund.
3 With the exception of Shares of Capital, the Governing Council may decide to re-allocate resources of one Account to the other Account and may apply resources of either Account to cover losses, or discharge liabilities, arising out of the operations or other activities of the other Account.
C. General powers
4 In addition to any powers set forth elsewhere in this Agreement, the Fund may exercise the following powers in connection with its operations, subject to and consistent with general operating principles and the terms of this Agreement:
a) To invest funds at any time not needed for its operations or for the Collateral Reserve in such financial instruments as the Fund may determine;
b) To exercise such other powers necessary to further its objectives and functions and to implement the provisions of this Agreement.
D. General operating principles
5 The Fund shall operate according to the provisions of this Agreement and any rules and regulations which the Governing Council may adopt.
6 The Fund shall operate in a manner consistent with good practice for prudent financial management of public funds.

Article 17
A. Resources
1 The resources of the Capital Account shall consist of:
a) Subscriptions by Members of Shares of Capital, except such part of their subscriptions as may have been allocated to the Operations Account in accordance with article 9, paragraph 3;
b) Voluntary contributions allocated to the Capital Account;
c) Earnings accrued from investment or deposit of the resources of the Capital Account;
d) Earnings received by the Fund as service provider pursuant to article 3 (c);
e) Earnings received by the Fund for its administration and management of Trust Funds;
f) Earnings received by the Fund in the form of interest, service charge, commitment fee and other charges emanating from Financial Interventions;
g) Resources re-allocated from the Operations Account to the Capital Account in accordance with article 16, paragraph 3;
h) Borrowings; and
i) The Collateral Reserve.
B. Use of the resources of Capital in the Capital Account
2 Capital allocated to the Capital Account shall be employed exclusively to provide revenues:
a) To cover the administrative expenses of the Fund; and
b) To be allocated to the Collateral Reserve, or be disposed of in such other way, as the Governing Council shall determine in accordance with article 13, paragraphs 2 (a) and 3.
3 For the purposes of article 17, paragraph 2 the Capital allocated to the Capital Account shall be invested and/or deposited in accordance with rules and regulations adopted by the Governing Council. Such rules and regulations shall pay due regard to the objective that such Capital shall remain unimpaired at all times and shall not be pledged or encumbered in any manner.

Article 18
A. Resources
1 The resources of the Operations Account shall consist of:
a) The part of Capital allocated to the Operations Account in accordance with article 9, paragraph 3;
b) Voluntary contributions made to the Operations Account;
c) Such income as may accrue from time to time from investment or deposit of the resources of the Operations Account;
d) Resources re-allocated from the Capital Account to the Operations Account in accordance with article 16, paragraph 3; and
e) Any other resources placed at the disposal of, received or acquired by, the Fund for or from its Operations Account activities.
B. Financial limits for the Operations Account
2 The aggregate amount at any time of the Financial Interventions which the Fund has committed itself to provide, shall at no time exceed the resources of the Operations Account.
C. Principles of Operations Account activities
3 The Fund may make or participate in loans and, except for that portion of the Capital allocated to the Operations Account, any other type of Financial Intervention for the financing of measures in the field of commodities from the resources of the Operations Account, subject to the provisions of this Agreement and in particular to the following terms and conditions:
a) The measures shall be innovative commodity development measures, aimed at improving the structural conditions in markets and at enhancing the long-term competitiveness and prospects of particular commodities, or any other measures that may be included in rules and regulations or guidelines adopted by the Governing Council.
b) The activities of the Fund in the Operations Account may take the form of any type of Financial Intervention. All Financial Interventions shall be provided on terms and conditions which the Executive Board decides are appropriate.

Article 19
The Fund shall have a Governing Council, an Executive Board, a Consultative Committee, a Managing Director and such staff and employees as may be necessary to carry out its functions.

Article 20
1 All the powers of the Fund shall be vested in the Governing Council.
2 Each Member shall appoint one Governor and one alternate to serve on the Governing Council at the pleasure of the appointing Member. The alternate may participate in meetings but may vote only in the absence of his principal.
3 The Governing Council may delegate to the Executive Board authority to exercise any powers of the Governing Council, except the power:
a) To determine the fundamental policy of the Fund;
b) To agree on terms and conditions for accession to this Agreement in accordance with article 56;
c) To suspend a Member;
d) To increase or decrease the Shares of Capital;
e) To decide on encashment of promissory notes under article 10;
f) To adopt amendments to this Agreement;
g) To terminate the operations of the Fund and to distribute the Fund's assets in accordance with chapter VIII;
h) To appoint the Managing Director;
i) To decide appeals by Members on decisions made by the Executive Board concerning the interpretation or application of this Agreement;
j) To approve the audited annual statement of accounts of the Fund;
k) To take decisions pursuant to article 13, paragraph 3, relating to net earnings after provision for the Collateral Reserve;
l) To approve proposed agreements with other international organizations in accordance with article 29, paragraphs 1 and 2, with the exception of agreements governing singular Financial Interventions;
m) To decide on replenishments of the Operations Account in accordance with article 12.
4 The Governing Council shall hold an annual meeting and such special meetings as it may decide, or as are called for by 15 Governors holding at least one fourth of the total voting power, or as requested by the Executive Board.
5 A quorum for any meeting of the Governing Council shall be constituted by a majority of the Governors holding not less than two thirds of the total voting power.
6 The Governing Council shall by a Highly Qualified Majority establish such rules and regulations consistent with this Agreement as it deems necessary for the conduct of the business of the Fund.
7 Governors and alternates shall serve as such without compensation from the Fund, unless the Governing Council decides by a Qualified Majority to pay them reasonable per diem and travel expenses incurred in attending meetings.
8 At each annual meeting, the Governing Council shall elect a Chairman from among the Governors.
The Chairman shall hold office until the election of his successor. He may be re-elected for one successive term.

Article 21
1 Votes in the Governing Council shall be distributed among Member States in accordance with schedule D.
2 Decisions in the Governing Council shall, whenever possible, be taken without vote.
3 Except as otherwise provided in this Agreement, all matters before the Governing Council shall be decided by a Simple Majority.

Article 22
1 The Executive Board shall be responsible for the conduct of the operations of the Fund and shall report to the Governing Council thereon. For this purpose the Executive Board shall exercise the powers accorded to it elsewhere in this Agreement or delegated to it by the Governing Council. In the exercise of any delegated powers, the Executive Board shall take decisions by the same levels of majority that would apply were such powers retained by the Governing Council.
2 The Executive Board shall, unless the Governing Council shall decide otherwise with a Highly Qualified Majority, consist of not less than 20 and not more than 25 Executive Directors. There shall be one alternate for each Executive Director.
3 The Executive Directors and one alternate to each Executive Director shall be elected by the Governing Council in the manner specified in schedule E.
4 Each Executive Director and alternate shall be elected for a term of two years and may be re-elected.
They shall continue in office until their successors are elected. An alternate may participate in meetings but may vote only in the absence of his principal.
5 The Executive Board shall function at the headquarters of the Fund and shall meet as often as the business of the Fund may require.
6 The Executive Directors and their alternates shall serve without remuneration from the Fund. The Fund may, however, pay them reasonable per diem and travel expenses incurred in attending meetings.
7 A quorum for any meeting of the Executive Board shall be constituted by a majority of Executive Directors holding not less than two thirds of the total voting power.
8 The Executive Board shall invite the Secretary-General of UNCTAD to attend the meetings of the Executive Board as an observer.
9 The Executive Board may invite the representatives of other interested international bodies to attend its meetings as observers.

Article 23
1 Each Executive Director shall be entitled to cast the number of votes attributable to the Members he represents. These votes need not be cast as a unit.
2 Decisions in the Executive Board shall, whenever possible, be taken without vote.
3 Except as otherwise provided in this Agreement, all matters before the Executive Board shall be decided by a Simple Majority.

Article 24
1 The Governing Council shall by a Qualified Majority appoint the Managing Director. If the appointee is, at the time of his appointment, a Governor or an Executive Director, or an alternate, he shall resign from such position prior to taking up his duties as Managing Director.
2 The Managing Director shall be the chief executive officer of the Fund and shall conduct, under the direction of the Governing Council and the Executive Board, the ordinary business of the Fund.
3 The term of office of the Managing Director shall be four years and he may be reappointed for one successive term. However, he shall cease to hold office at any time the Governing Council so decides by a Qualified Majority.
4 The Managing Director shall be responsible for the organization, appointment and dismissal of the staff pursuant to staff rules and regulations to be adopted by the Fund. In appointing the staff the Managing Director shall, subject to the paramount importance of securing the highest standards of efficiency and of technical competence, pay due regard to recruiting personnel on as wide a geographical basis as possible.
5 The Managing Director and staff, in the discharge of their functions, shall owe their duty entirely to the Fund and to no other authority. Each Member shall respect the international character of this duty and shall refrain from all attempts to influence the Managing Director or any of the staff in the discharge of their functions.

Article 25
The Fund shall maintain at the disposal of the Executive Board, a Consultative Committee, established and operating, in accordance with rules and regulations adopted by the Governing Council, to facilitate the activities of the Operations Account.

Article 26
1 The administrative expenses of the Fund shall be covered from the resources of the Capital Account.
2 The Managing Director shall prepare an annual administrative budget, which shall be considered by the Executive Board and be transmitted, together with its recommendations, to the Governing Council for approval.
3 The Managing Director shall arrange for an annual independent and external audit of the accounts of the Fund. The audited statement of accounts, after consideration by the Executive Board, shall be transmitted, together with its recommendations, to the Governing Council for approval.

Article 27
The headquarters of the Fund shall, except as the Governing Council with a Qualified Majority shall decide otherwise, be located in Amsterdam, The Netherlands. The Fund may, by a decision of the Governing Council, establish other offices, as necessary, in the territory of any Member.

Article 28
The Fund shall issue and transmit to Members an annual report containing an audited statement of accounts. After adoption by the Governing Council, such report and statement shall also be transmitted for information to the General Assembly of the United Nations, to the Trade and Development Board of UNCTAD and to other interested international organizations.

Article 29
1 The Fund may enter into negotiations with the United Nations with a view to concluding an agreement to bring the Fund into relationship with the United Nations as one of the specialized agencies referred to in Article 57 of the Charter of the United Nations. Any agreement concluded in accordance with Article 63 of the Charter shall require the approval of the Governing Council, upon the recommendation of the Executive Board.
2 The Fund may co-operate closely with the bodies and organizations of the United Nations system, and enter into such agreements with such entities as may be deemed desirable.
3 The Fund shall seek to establish working relationships with ICBs and other international organizations and with public and private entities engaged in activities related to those of the Fund, and to mobilize financial support for the Fund’s objectives from whichever sources available. In the interrelation between the Fund and such organizations and entities each party shall respect the autonomy of the other.

Article 30
A Member may at any time, except as provided for in article 34, paragraph 2, and subject to the provisions of article 32, withdraw from the Fund by transmitting a notice in writing to the Fund. Such withdrawal shall become effective on the date specified on the notice, which shall be not less than twelve months after receipt of the notice by the Fund.

Article 31
1 If a Member fails to fulfil any of its financial obligations to the Fund, the Governing Council may, except as provided for in article 34, paragraph 2, by a Qualified Majority, suspend its membership. The Member so suspended shall automatically cease to be a Member one year from the date of its suspension, unless the Governing Council decides to extend the suspension for a further period of one year.
2 When the Governing Council is satisfied that the suspended Member has fulfilled its financial obligations to the Fund, the Council shall restore the Member to good standing.
3 While under suspension, a Member shall not be entitled to exercise any rights under this Agreement, except the right of withdrawal and to arbitration during the termination of the Fund's operations, but shall remain subject to compliance with all its obligations under this Agreement.

Article 32
1 When a Member ceases to be a Member, it shall remain liable thereafter to meet all calls made by the Fund before, and payments outstanding as of, the date on which it ceased to be a Member in respect of its obligations to the Fund.
2 When a Member ceases to be a Member, the Fund shall arrange for the repurchase of its Shares consistent with article 16, paragraphs 2 and 3, as a part of the settlement of accounts with that Member. The repurchase price of the Shares shall be the United States dollar value shown by the books of the Fund as at the date the Member ceases to be a Member; provided that any amount thus due to the Member may be applied by the Fund to any liability outstanding to the Fund from that Member pursuant to paragraph 1 of this article.

Article 33
In an emergency, the Executive Board may temporarily suspend such of the Fund's operations as it considers necessary pending an opportunity for further consideration and action by the Governing Council.

Article 34
1 The Governing Council may terminate the Fund's operations by a decision taken by a vote of two thirds of the total number of Governors holding not less than three fourths of the total voting power. Upon such termination, the Fund shall forthwith cease all activities, except those necessary for the orderly realization and conservation of its assets and the settlement of its outstanding obligations.
2 Until final settlement of its obligations and final distribution of its assets, the Fund shall remain in existence, and all rights and obligations of the Fund and its Members under this Agreement shall continue unimpaired, except that no Member may withdraw or be suspended after the decision to terminate has been taken.

Article 35
1 The Executive Board shall make such arrangements as are necessary to ensure the orderly realization of the Fund's assets. Before making any payments to creditors holding direct claims, the Executive Board shall, by a Qualified Majority, make such reserves or arrangements as are necessary, in its sole judgement, to ensure a distribution to holders of contingent claims pro rata with creditors holding direct claims.
2 No distribution of assets shall be made in accordance with this chapter until:
a) All liabilities of the Account in question have been discharged or provided for; and
b) The Governing Council has decided to make a distribution by a Qualified Majority.
3 Following a decision of the Governing Council under paragraph 2 (b) of this article, the Executive Board shall make successive distributions of any remaining assets of the Account in question until all such assets have been distributed.

Article 36
1 Liabilities to creditors of the Fund shall be discharged pari passu through the use of the assets of the Capital Account.
2 Distribution of any assets of the Capital Account remaining after the distributions provided for in paragraph 1 of this article shall be made to Members pro rata to their subscriptions of Shares of Capital allocated to the Capital Account.

Article 37
1 Liabilities incurred by the Fund in respect of Operations Account activities shall be discharged through the use of the resources of the Operations Account.
2 Distribution of any remaining assets of the Operations Account shall be made first to Members up to the value of their subscriptions of Shares of Capital allocated to that Account pursuant to article 9, paragraph 3, and then to contributors to that Account pro rata to their share in the total amount contributed pursuant to article 12.

Article 38
1 Any other asset shall be realized at a time or times to be decided by the Governing Council, in the light of recommendations made by the Executive Board and in accordance with procedures determined by the Executive Board by a Qualified Majority.
2 Proceeds realized by the sale of such assets shall be used to discharge pro rata the liabilities referred to in article 36, paragraph 1, and article 37, paragraph 1. Any remaining assets shall be distributed to Members pro rata to their subscriptions of Shares of Capital.

Article 39
To enable the Fund to fulfil the functions with which it is entrusted, the status, privileges and immunities set forth in this chapter shall be accorded to the Fund in the territory of each Member.

Article 40
The Fund shall possess full juridical personality, and, in particular, the capacity to conclude international agreements with States and international organizations, to enter into contracts, to acquire and dispose of immovable and movable property, and to institute legal proceedings.

Article 41
1 The Fund shall enjoy immunity from every form of legal process, except for actions which may be brought against the Fund:
a) By lenders of funds borrowed by the Fund with respect to such funds;
b) By buyers or holders of securities issued by the Fund with respect to such securities; and
c) By assignees and successors in interest thereof with respect to the aforementioned transactions.
Such actions may be brought only before courts of competent jurisdiction in places in which the Fund has agreed in writing with the other party to be subject. However, if no provision is made as to the forum, or if an agreement as to the jurisdiction of such courts is not effective for reasons other than the fault of the party bringing legal action against the Fund, then such action may be brought before a competent court in the place in which the Fund has its headquarters or has appointed an agent for the purpose of accepting service or notice of process.
2 No action shall be brought against the Fund by Members, except in cases as in paragraph 1 of this article. Nevertheless, Members shall have recourse to such special procedures to settle controversies between themselves and the Fund as may be prescribed in this Agreement and in any rules and regulations adopted by the Fund.
3 Notwithstanding the provisions of paragraph 1 of this article, property and assets of the Fund, wherever located and by whomsoever held, shall be immune from search, any form of taking, foreclosure, seizure, all forms of attachment, injunction, or other judicial process impeding disbursement of funds and any other interlocutory measures before the delivery of a final judgement against the Fund by a court having jurisdiction in accordance with paragraph 1 of this article. The Fund may agree with its creditors to limit the property or assets of the Fund which may be subject to execution in satisfaction of a final judgement.

Article 42
The property and assets of the Fund, wherever located and by whomsoever held, shall be immune from search, requisition, confiscation, expropriation and any other form of interference or taking whether by executive or legislative action.

The archives of the Fund, wherever located, shall be inviolable.

To the extent necessary to carry out the operations provided for in this Agreement and subject to the provisions of this Agreement, all property and assets of the Fund shall be free from restrictions, regulations, controls, and moratoria of any nature.

Article 45
As far as may be compatible with any international convention on telecommunications in force and concluded under the auspices of the International Telecommunication Union to which a Member is a party, the official communications of the Fund shall be accorded by each Member the same treatment that is accorded to the official communications of other Members.

Article 46
All Governors, Executive Directors, their alternates, the Managing Director, members of the Consultative Committee, experts performing missions for the Fund, and the staff, other than persons in domestic service of the Fund:
a) Shall be immune from legal process with respect to acts performed by them in their official capacity except when the Fund waives such immunity;
b) When they are not nationals of the Member concerned, shall be accorded, as well as their families forming part of their household, the same immunities from immigration restrictions, alien registration requirements and national service obligations and the same facilities as regards exchange restrictions as are accorded by such Member to the representatives, officials and employees of comparable rank of other international financial institutions of which it is a member;
c) Shall be granted the same treatment in respect of travelling facilities as is accorded by each Member to representatives, officials and employees of comparable rank of other international financial institutions of which it is a member.

Article 47
1 Within the scope of its official activities, the Fund, its assets, property, income and its operations and transactions authorized by this Agreement shall be exempt from all direct taxation and from all customs duties on goods imported or exported for its official use, provided that this shall not prevent any Member from imposing its normal taxes and customs duties on commodities which originate from the territory of such Member and which are forfeited to the Fund through any circumstance. The Fund shall not claim exemption from taxes which are no more than charges for services rendered.
2 When purchases of goods or services of substantial value necessary for the official activities of the Fund are made by or on behalf of the Fund, and when the price of such purchases includes taxes or duties, appropriate measures shall, to the extent possible and subject to the law of the Member concerned, be taken by such Member to grant exemption from such taxes or duties or provide for their reimbursement. Goods imported or purchased under an exemption provided for in this article shall not be sold or otherwise disposed of in the territory of the Member which granted the exemption, except under conditions agreed with that Member.
3 No tax shall be levied by Members on or in respect of salaries and emoluments paid or any other form of payment made by the Fund to Governors, Executive Directors, their alternates, members of the Consultative Committee, the Managing Director and staff, as well as experts performing missions for the Fund, who are not their citizens, nationals or subjects. For the purpose of this article 47, paragraph 3 any person who by virtue of domicile or habitual abode is subject to the taxation laws of a Member shall be regarded as a subject of the Member concerned.
4 No taxation of any kind shall be levied on any obligation or security issued or guaranteed by the Fund, including any dividend or interest thereon, by whomsoever held:
a) Which discriminates against such obligation or security solely because it is issued or guaranteed by the Fund; or
b) If the sole jurisdictional basis for such taxation is the place or currency in which it is issued, made payable or paid, or the location of any office or place of business maintained by the Fund.

Article 48
1 The immunities, exemptions and privileges provided in this chapter are granted in the interests of the Fund. The Fund may waive, to such extent and upon such conditions as it may determine, the immunities, exemptions and privileges provided in this chapter in cases where its action would not prejudice the interests of the Fund.
2 The Managing Director shall have the power, as may be delegated to him by the Governing Council, and the duty to waive the immunity of any of the staff, and experts performing missions for the Fund, in cases where the immunity would impede the course of justice and can be waived without prejudice to the interests of the Fund.

Article 49
Each Member shall take such action as is necessary for the purpose of making effective in its territory the principles and obligations set forth in this chapter.

Article 50
1
a) Any proposal to amend this Agreement emanating from a Member shall be notified to all Members by the Managing Director and referred to the Executive Board, which shall submit its recommendations thereon to the Governing Council.
b) Any proposal to amend this Agreement emanating from the Executive Board shall be notified to all Members by the Managing Director and referred to the Governing Council.
2 Amendments shall be adopted by the Governing Council by a Highly Qualified Majority, but shall not come into force until accepted by all Members. Acceptance shall be deemed to have been given unless any Member notifies its objection to the Managing Director in writing within six months after the adoption of the amendment. Such period of time may be extended by the Governing Council at the time of the adoption of the amendment, at the request of any Member.
3 The Managing Director shall immediately notify all Members and the Depositary of any amendments that are adopted and of the date of the entry into force of any such amendments.

Article 51
1 Any question of interpretation or application of the provisions of this Agreement arising between any Member and the Fund or between Members shall be submitted to the Executive Board for decision. Such Member or Members shall be entitled to participate in the deliberations of the Executive Board during the consideration of such question in accordance with rules and regulations to be adopted by the Governing Council.
2 In any case where the Executive Board has given a decision under paragraph 1 of this article, any Member may require, within three months from the date of notification of the decision, that the question be referred to the Governing Council, which shall take a decision at its next meeting by a Highly Qualified Majority. The decision of the Governing Council shall be final.
3 Where the Governing Council has been unable to reach a decision under paragraph 2 of this article, the question shall be submitted to arbitration in accordance with the procedures laid down in article 52, paragraph 2, if any Member so requests within three months after the final day of consideration of the question by the Governing Council.

Article 52
1 Any dispute between the Fund and any Member which has withdrawn, or between the Fund and any Member during the termination of the Fund's operations, shall be submitted to arbitration.
2 The arbitral tribunal shall consist of three arbitrators. Each party to the dispute shall appoint one arbitrator. The two arbitrators so appointed shall appoint the third arbitrator, who shall be the Chairman. If within 45 days of receipt of the request for arbitration either party has not appointed an arbitrator, or if within 30 days of the appointment of the two arbitrators the third arbitrator has not been appointed, either party may request the President of the International Court of Justice, or such other authority as may have been prescribed by rules and regulations adopted by the Governing Council, to appoint an arbitrator. If the President of the International Court of Justice has been requested under this paragraph to appoint an arbitrator and if the President is a national of a State party to the dispute or is unable to discharge his duties, the authority to appoint the arbitrator shall devolve on the Vice-President of the Court, or, if he is similarly precluded, on the oldest among the members of the Court not so precluded who have been longest on the bench. The procedure of arbitration shall be fixed by the arbitrators but the Chairman shall have full power to settle all questions of procedure in any case of disagreement with respect thereto. A majority vote of the arbitrators shall be sufficient to reach a decision, which shall be final and binding upon the parties.

1 Any State or intergovernmental organization specified in article 4 may accede to this Agreement upon such terms and conditions as are agreed between the Governing Council and that State or intergovernmental organization. Accession shall be effected by the deposit of an instrument of accession with the Depositary.
2 For any State or intergovernmental organization that deposits an instrument of accession, this Agreement shall enter into force on the date of such deposit.

Schedule B — Special arrangements for the least developed countries, pursuant to article 10, paragraph 5
1. Members in the category of least developed countries as defined by the United Nations shall pay the Shares referred to in article 9, paragraph 1 (b), in the following manner:
a) A payment of 30 per cent shall be made in three equal instalments over a period of three years;
b) A subsequent payment of 30 per cent shall be made in instalments as and when decided by the Executive Board;
c) After payment of (a) and (b) above, the remaining 40 per cent shall be evidenced by members by the deposit of irrevocable, non-negotiable non-interest-bearing promissory notes, and shall be paid as and when decided by the Executive Board.
2. Notwithstanding the provisions of article 31, a least developed country shall not be suspended from its membership for its failure to fulfil the financial obligations referred to in paragraph 1 of this schedule without being given the full opportunity to represent its case, within a reasonable period of time, and satisfy the Governing Council of its inability to fulfil such obligations.

1. An ICB shall be established on an intergovernmental basis, with membership open to all States Members of the United Nations or of any of its specialized agencies or of the International Atomic Energy Agency.
2. It shall be concerned on a continuing basis with the trade, production and consumption aspects of the commodity in question.
3. Its membership shall comprise producers and consumers which shall represent an adequate share of exports and of imports of the commodity concerned.
4. It shall have an effective decision-making process that reflects the interests of its participants.
5. It shall be in a position to adopt a suitable method for ensuring the proper discharge of any technical or other responsibilities arising from its association with the activities of the Operations Account.

1. Each Member State referred to in article 5 (a) shall hold:
a) 150 basic votes;
b) The number of votes allocated to it in respect of Shares of Capital which it has subscribed, as set out in the annex to this schedule;
c) Any votes allocated to it in accordance with paragraph 3 of this schedule.
2. Each Member State referred to in article 5 (b) shall hold:
a) 150 basic votes;
b) A number of votes in respect of Shares of Capital which it has subscribed, to be determined by the Governing Council by a Qualified Majority on a basis consistent with the allocation of votes provided for in the annex to this schedule;
c) Any votes allocated to it in accordance with paragraph 3 of this schedule.
3. In the event of unsubscribed or additional Shares of Capital being made available for subscription in accordance with article 8, paragraph 3 (b) and article 11, paragraph 2, two additional votes shall be allocated to each Member State for each additional Share of Capital which it subscribes
4. The Governing Council shall keep the voting structure under constant review and, if the actual voting structure is significantly different from that provided for in the annex to this schedule, shall make any necessary adjustments in accordance with the fundamental principles governing the distribution of votes reflected in this schedule. In making such adjustments, the Governing Council shall take into consideration:
a) The membership;
b) The number of Shares of Capital.

Schedule E — Election of Executive Directors
Schedule E — Election of Executive Directors
1. For the purpose of this schedule:
“Candidature” means any two persons nominated by a Constituency; one for a post as Executive Director and one for his or her alternate.
“Constituency” means, as the context may require:
a) any singular Member holding a number of Votes equal to or exceeding a given number to be determined by the Governing Council at any time; and/or
b) any group of Members holding among them a number of Votes which falls between the number determined by the Governing Council under subparagraph (a), and a lower number to be determined by the Governing Council at any time.
“Votes” means votes as allocated to the respective Members pursuant to schedule D.
2. The Executive Directors and their alternates shall be elected by the Governing Council by endorsement of Candidatures submitted by the respective Constituencies. The two persons forming each Candidature need not be of the same nationality.
3. At each meeting of the Governing Council where elections for Executive Directors are to be held, each Constituency shall present one Candidature. In the case that the Governing Council should not endorse a Candidature, the Constituency concerned shall be entitled to submit up to three further Candidatures at the relevant meeting of the Governing Council.
4. Always subject to the provisions of paragraph 1 of this schedule, any group of Members may at their discretion establish a Constituency. The terms for co-operation, decision-making and nomination of candidatures within each Consistency shall be determined by the Members concerned at their discretion.
5. The Governing Council may at any time with a Highly Qualified Majority amend all or any of the numbers of Votes referred to in paragraph 1 of this schedule.
Schedule F — Unit of Account
Schedule F — Unit of Account
1. The value of one Unit of Account shall be the sum of the values of the following currency units converted into any one of those currencies:

2. Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK I — BEGRIPSOMSCHRIJVINGEN
Artikel 1
Voor de toepassing van deze Overeenkomst wordt verstaan onder:
1. „Kapitaal”: het kapitaal van het Fonds zoals omschreven in artikel 8, eerste lid.
2. „Financiële interventie”: elke schenking, lening of ander kredietmiddel, investering in een aandelen-, schuld- of investeringsfonds, of enige andere vorm van financiële interventie of bijdrage, met uitzondering van leninggaranties, die de Raad van Bestuur op algemene basis dient goed te keuren of die het College van Bewindvoerders in een afzonderlijk geval dient goed te keuren, ten behoeve van financiering door het Fonds uit hoofde van zijn activiteiten in het kader van de Activiteitenrekening.
3. „Fonds” het Gemeenschappelijk Fonds voor Grondstoffen ingesteld bij deze Overeenkomst.
4. „Internationaal grondstoffenorgaan”: (hierna te noemen ICB) een door het College van Bewindvoerders in overeenstemming met de criteria vervat in Bijlage C aangewezen orgaan ten behoeve van de activiteiten uit hoofde van de Activiteitenrekening van het Fonds.
5. „Aandelen”: de aandelen in het kapitaal omschreven in artikel 8, eerste lid.
6. „Versterkt gekwalificeerde meerderheid”: ten minste driekwart van alle uitgebrachte stemmen.
7. „Gekwalificeerde meerderheid”: ten minste twee derde van alle uitgebrachte stemmen.
8. „Gewone meerderheid”: meer dan de helft van alle uitgebrachte stemmen.
9. „Totaal aantal stemmen”: de som van de stemmen die in het bezit zijn van alle Leden van het Fonds.
10. „Trustfonds”: elk bedrag aan contanten en/of aantal andere financiële instrumenten van een andere partij of andere partijen waarvan het Fonds de administratie en/of het beheer verzorgt.
11. „Rekeneenheid”: de overeenkomstig artikel 7, eerste lid, omschreven rekeneenheid van het Fonds.
12. „Bruikbare valuta”: (a) de Japanse yen, het pond sterling, de euro, de U.S. dollar en iedere andere valuta die door een bevoegde internationale monetaire organisatie op enig moment is aangewezen als een valuta die daadwerkelijk op grote schaal wordt gebruikt om betalingen te verrichten voor internationale transacties en die op grote schaal wordt verhandeld op de voornaamste valutamarkten, alsmede (b) iedere andere vrij beschikbare en daadwerkelijk bruikbare valuta die met een gekwalificeerde meerderheid door het College van Bewindvoerders kan worden aangewezen, nadat het land waarvan de valuta door het Fonds is voorgesteld, daarmee heeft ingestemd. Valuta kunnen met een gekwalificeerde meerderheid door het College van Bewindvoerders van de lijst van bruikbare valuta worden afgevoerd.
13. „Uitgebrachte stemmen”: stemmen vóór en stemmen tegen.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK II — DOELSTELLINGEN EN TAKEN
Artikel 2
De doelstellingen van het Fonds zijn:
a. te dienen als een belangrijk instrument bij het bereiken van de overeengekomen doelstellingen van het geïntegreerde grondstoffenprogramma, zoals deze in UNCTAD-resolutie 93 (IV) zijn neergelegd;
b. de ontwikkeling van de grondstoffensector te bevorderen en bij te dragen aan duurzame ontwikkeling in de drie aspecten daarvan, te weten het sociale, economische en milieutechnische aspect, daarbij erkennend dat meerdere wegen naar duurzame ontwikkeling leiden en in dit verband erop wijzend dat elk land primair verantwoordelijk is voor zijn eigen ontwikkeling en het recht heeft zijn eigen ontwikkelingstraject en passende strategieën te bepalen.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK II — DOELSTELLINGEN EN TAKEN
Artikel 3
Teneinde zijn doelstellingen zoals vervat in artikel 2 te verwezenlijken vervult het Fonds de volgende taken:
a. het beschikbaar stellen van middelen en financieren van maatregelen en acties op het gebied van grondstoffen op de wijze zoals hierna aangegeven;
b. het tot stand brengen van partnerschappen om de synergie te bevorderen door samenwerking en uitvoering van activiteiten op het gebied van de ontwikkeling van grondstoffen;
c. het fungeren als dienstverlener;
d. het verspreiden van kennis en verstrekken van informatie over nieuwe en innovatieve benaderingen op het terrein van grondstoffen;
e. het vervullen van andere taken zoals besloten door de Raad van Bestuur.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK III — LIDMAATSCHAP
Artikel 4
Het lidmaatschap van het Fonds staat open voor:
a. alle Staten die lid zijn van de Verenigde Naties, van haar gespecialiseerde organisaties of van de Internationale Organisatie voor Atoomenergie; en
b. iedere intergouvernementele organisatie die bevoegdheden uitoefent op de werkterreinen van het Fonds. Deze intergouvernementele organisaties behoeven geen financiële verplichtingen jegens het Fonds op zich te nemen en bezitten geen stemmen.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK III — LIDMAATSCHAP
Artikel 5
De Leden van het Fonds (hierna te noemen Leden) zijn:
a. de Staten die deze Overeenkomst hebben bekrachtigd, aanvaard of goedgekeurd op of voorafgaand aan de datum van inwerkingtreding ervan;
b. de Staten die overeenkomstig artikel 56 tot deze Overeenkomst zijn toegetreden;
c. de in artikel 4, onderdeel b, bedoelde intergouvernementele organisaties die deze Overeenkomst hebben bekrachtigd, aanvaard of goedgekeurd op of voorafgaand aan de datum van inwerkingtreding ervan;
d. de in artikel 4, onderdeel b, bedoelde intergouvernementele organisaties die overeenkomstig artikel 56 tot deze Overeenkomst zijn toegetreden.

Artikel 6
Geen Lid is, uitsluitend op grond van zijn lidmaatschap, aansprakelijk voor handelingen of verplichtingen van het Fonds.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK IV — KAPITAAL EN ANDERE MIDDELEN
Artikel 7
1 De rekeneenheid van het Fonds wordt in Bijlage F omschreven.
2 Het Fonds hanteert bruikbare valuta en verricht zijn financiële transacties daarin. Geen Lid houdt beperkingen in stand of legt deze op ten aanzien van het bezit, het gebruik of de omwisseling door het Fonds van bruikbare valuta die afkomstig zijn van:
a. betaling van inschrijvingen op aandelen in het kapitaal;
b. betaling van vrijwillige bijdragen;
c. leningen;
d. betaling ter zake van hoofdsommen, inkomsten, rente of andere kosten betreffende leningen of investeringen verstrekt uit een van de in dit lid bedoelde middelen.
3 Het College van Bewindvoerders bepaalt de wijze van waardebepaling van bruikbare valuta uitgedrukt in de rekeneenheid, overeenkomstig de heersende internationale monetaire praktijk.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK IV — KAPITAAL EN ANDERE MIDDELEN
Artikel 8
1 Het kapitaal van het Fonds (hierna te noemen kapitaal) wordt verdeeld in 37.000 aandelen die door het Fonds worden uitgegeven en die elk een nominale waarde hebben van 7.566.47145 rekeneenheden en een totale waarde van 279.959.444 rekeneenheden.
2 Op aandelen in het kapitaal kan slechts door Leden worden ingeschreven overeenkomstig de bepalingen van artikel 9.
3 Het aantal aandelen in het kapitaal:
a. wordt zo nodig door de Raad van Bestuur bij toetreding van een Staat ingevolge artikel 56 verhoogd;
b. kan door de Raad van Bestuur overeenkomstig artikel 11 worden verhoogd.
4 Indien de Raad van Bestuur ingevolge artikel 11, tweede lid, de inschrijving openstelt op aandelen in het kapitaal waarop niet is ingeschreven, of ingevolge het derde lid, onderdeel b, van dit artikel het aantal aandelen in het kapitaal verhoogt, heeft ieder Lid het recht op deze aandelen in te schrijven, doch is daartoe niet gehouden.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK IV — KAPITAAL EN ANDERE MIDDELEN
Artikel 9
1 Elk Lid bedoeld in artikel 5, onderdeel a, handhaaft de inschrijving zoals vermeld in Bijlage A op:
a. 100 aandelen; en
b. eventuele bijkomende aandelen.
2 Elk Lid bedoeld in artikel 5, onderdeel b, schrijft in op:
a. 100 aandelen; en
b. eventuele bijkomende aandelen zoals door de Raad van Bestuur met een gekwalificeerde meerderheid bepaald, op een wijze die verenigbaar is met de toewijzing van aandelen zoals vastgelegd in Bijlage A en in overeenstemming met de ingevolge artikel 56 overeengekomen voorwaarden.
3 Elk Lid kan op vrijwillige basis een deel van zijn inschrijving toewijzen aan de Activiteitenrekening, ingevolge respectievelijk het eerste lid, onderdeel a, of het tweede lid, onderdeel a, van dit artikel alsmede een deel of delen van zijn inschrijving ingevolge respectievelijk het eerste lid, onderdeel b, of het tweede lid, onderdeel b, zoals door de Raad van Bestuur bij consensus wordt toegestaan op verzoek van dit Lid.
4 Naast zijn verplichte inschrijving ingevolge artikel 9, eerste of tweede lid, kan elk Lid naar eigen goeddunken de Raad van Bestuur verzoeken een aantal aandelen in het kapitaal zoals bedoeld in artikel 8 waarop niet is ingeschreven op de datum van het verzoek ter beschikking te stellen aan dat Lid ten behoeve van inschrijving daarop. De betaling van aandelen waarop aldus is ingeschreven vindt plaats volgens de voorwaarden die de Raad van Bestuur en het betrokken Lid overeenkomen.
5 De aandelen in het kapitaal worden op generlei wijze door de Leden verpand of bezwaard en kunnen uitsluitend aan het Fonds worden overgedragen.

Artikel 10
1 Betalingen van aandelen in het kapitaal waarop door ieder Lid is ingeschreven, worden gedaan:
a. in elke bruikbare valuta tegen de omrekeningskoers tussen deze valuta en de rekeneenheid op de dag waarop de betaling plaatsvindt; of
b. in een bruikbare valuta, door dat Lid gekozen op het tijdstip van nederlegging van zijn akte van bekrachtiging, aanvaarding of goedkeuring en tegen de omrekeningskoers tussen deze valuta en de rekeneenheid op de datum van deze Overeenkomst.
Op het tijdstip van nederlegging van zijn akte van bekrachtiging, aanvaarding of goedkeuring maakt ieder Lid een keuze uit een van bovenstaande procedures die op elke zodanige betaling van toepassing zal zijn.
2 In het geval van een onderzoek overeenkomstig artikel 11, eerste lid, toetst de Raad van Bestuur het functioneren van de in het eerste lid van dit artikel bedoelde betalingswijze in het licht van wisselkoersschommelingen en neemt de Raad, rekening houdend met de ontwikkelingen in de praktijk van instellingen die internationale leningen verstrekken, met een versterkt gekwalificeerde meerderheid besluiten inzake eventuele wijzigingen in de betalingswijze voor inschrijvingen op bijkomende aandelen in het rechtstreeks bijgedragen kapitaal die daarna overeenkomstig artikel 11, tweede lid, worden uitgegeven.
3 Elk in artikel 5, onderdeel a, bedoeld Lid:
a. dient binnen 60 dagen na de inwerkingtreding van deze Overeenkomst of binnen 30 dagen na het tijdstip waarop zijn akte van bekrachtiging, aanvaarding of goedkeuring is nedergelegd, naargelang welke van beide data het laatste valt, 30% van zijn totale inschrijving op aandelen te hebben betaald;
b. dient één jaar na de betaling zoals voorzien in onderdeel a hierboven, 20% van zijn totale inschrijving op aandelen te hebben betaald en bij het Fonds niet-herroepbare, niet-overdraagbare en niet-rentedragende promessen ten bedrage van 10% van zijn totale inschrijving op aandelen te hebben gedeponeerd. Deze promessen worden verzilverd op de wijze en het tijdstip waartoe het College van Bewindvoerders met een gekwalificeerde meerderheid besluit;
c. dient 2 jaar na de betaling zoals voorzien in onderdeel a hierboven, bij het Fonds niet-herroepbare, niet-overdraagbare, niet-rentedragende promessen ten bedrage van 40% van zijn totale inschrijving op aandelen te hebben gedeponeerd.
Deze promessen worden verzilverd op de wijze en het tijdstip waartoe het College van Bewindvoerders met een gekwalificeerde meerderheid besluit, met dien verstande dat promessen met betrekking tot aan de Activiteitenrekening toegewezen aandelen verzilverd worden op de wijze en het tijdstip waartoe het College van Bewindvoerders besluit.
4 De opvraag van stortingen op aandelen in het kapitaal van alle Leden geschiedt naar evenredigheid, behoudens het bepaalde in het derde lid, onderdeel c, van dit artikel.
5 Bijzondere betalingsregelingen voor inschrijvingen op aandelen in het kapitaal door de minst-ontwikkelde landen worden in Bijlage B vermeld.
6 Inschrijvingen op aandelen in het kapitaal kunnen in voorkomende gevallen betaald worden door de desbetreffende instellingen van de betrokken Leden.

Artikel 11
1 De Raad van Bestuur kan, met door de Raad passend geachte tussenpozen, de toereikendheid van het aan de Kapitaalrekening ter beschikking staande kapitaal onderzoeken.
2 Naar aanleiding van een ingevolge het eerste lid van dit artikel verricht onderzoek kan de Raad van Bestuur besluiten aandelen waarop niet is ingeschreven, voor inschrijving open te stellen of bijkomende aandelen in het kapitaal op basis van een door de Raad van Bestuur vast te stellen verdeling uit te geven.
3 Besluiten van de Raad van Bestuur ingevolge dit artikel worden aangenomen met een versterkt gekwalificeerde meerderheid, maar treden pas in werking wanneer alle Leden deze aanvaard hebben. Aanvaarding wordt geacht te zijn geschied tenzij een Lid binnen zes maanden na de aanneming van het besluit de Directeur schriftelijk in kennis stelt van zijn bezwaar. Deze termijn kan op verzoek van een Lid door de Raad van Bestuur worden verlengd op het tijdstip waarop het besluit wordt aangenomen.

Artikel 12
1 Het Fonds kan vrijwillige bijdragen van Leden en uit andere bronnen aanvaarden. Deze bijdragen worden in bruikbare valuta betaald.
2 De Raad van Bestuur kan op een door de Raad vast te stellen tijdstip de toereikendheid van de aan de Activiteitenrekening ter beschikking staande middelen onderzoeken. In het licht van al deze onderzoeken kan de Raad van Bestuur besluiten de middelen van de Activiteitenrekening aan te vullen en de noodzakelijke regelingen te treffen. Deze aanvullingen geschieden voor Leden op vrijwillige basis en in overeenstemming met deze Overeenkomst.
3 Vrijwillige bijdragen worden, naar keuze van de bijdragende partij, al dan niet onderworpen aan beperkingen ter zake van hun gebruik door het Fonds.

Artikel 13
1 De Raad van Bestuur stelt een Reserve tot zekerheidstelling in waarvan de middelen zullen dienen als zekerheidstelling voor leningen van het Fonds.
2 De middelen van deze Reserve tot zekerheidstelling bestaan uit:
a. opbrengsten van de Kapitaalrekening, onder aftrek van administratiekosten, tot bedragen die de Raad van Bestuur jaarlijks vaststelt;
b. vrijwillige bijdragen aan de Reserve tot zekerheidstelling van Leden; en
c. alle overige bronnen die door een partij aan de Reserve tot zekerheidstelling ter beschikking worden gesteld.
3 Niettegenstaande de bepalingen van het eerste en tweede lid van dit artikel beslist de Raad van Bestuur met een versterkt gekwalificeerde meerderheid op welke wijze zal worden beschikt over netto-opbrengsten van de Kapitaalrekening die niet aan de Reserve tot zekerheidstelling zijn toegewezen.

Artikel 14
1 Het Fonds sluit geen leningen af en gaat op geen enkele wijze schuldverplichtingen aan tenzij in overeenstemming met het tweede lid van dit artikel.
2 Ten behoeve van een effectief beheer van zijn activiteiten mag het Fonds schulden met een korte looptijd aangaan ten behoeve van:
i. het afwikkelen van financiële transacties of andere kasverrichtingen;
ii. liquiditeitsbehoeften.
3 Het totale bedrag aan schulden van het Fonds mag de middelen van de Reserve tot zekerheidstelling nooit te boven gaan.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK IV — KAPITAAL EN ANDERE MIDDELEN
Artikel 15
1 Het Fonds mag financiële middelen aanvaarden van een andere partij of partijen voor het instellen van een Trustfonds mits de middelen van het Trustfonds worden ingezet voor het bevorderen van de doelstellingen van het Fonds zoals vervat in artikel 2.
2 De middelen van elk Trustfonds worden op een aparte rekening gezet, afgescheiden van de middelen van het Fonds en van andere Trustfondsen.
3 De voorwaarden verbonden aan het gebruik van de middelen van elk Trustfonds en aan de administratie en/of het beheer daarvan door het Fonds worden, na goedkeuring door het College van Bewindvoerders, vastgelegd in een overeenkomst tussen het Fonds en de eigenaar of eigenaren van de middelen van het Trustfonds.

Artikel 16
A. Gebruik van middelen
1 De middelen en faciliteiten van het Fonds worden uitsluitend gebruikt ter verwezenlijking van zijn doelstellingen en ter vervulling van zijn taken.
B. Twee rekeningen
2 Het Fonds stelt twee afzonderlijke rekeningen in, waarin het zijn middelen aanhoudt: een Kapitaalrekening, waarvoor de middelen worden verstrekt als in artikel 17, eerste lid, is bepaald en een Activiteitenrekening, waarvoor de middelen worden verstrekt als in artikel 18, eerste lid, is bepaald. Deze afzonderlijke rekeningen komen in de financiële stukken van het Fonds tot uitdrukking.
3 Met uitzondering van aandelen in het kapitaal kan de Raad van Bestuur besluiten de middelen van de ene rekening toe te wijzen aan de andere rekening en de middelen van beide rekeningen te gebruiken om verliezen te dekken of verplichtingen te betalen die voortvloeien uit de activiteiten of andere werkzaamheden uit hoofde van de andere rekening.
C. Algemene bevoegdheden
4 Naast de elders in deze Overeenkomst uiteengezette bevoegdheden kan het Fonds in het kader van zijn activiteiten de volgende bevoegdheden uitoefenen, die onderworpen aan en in overeenstemming dienen te zijn met de algemene beginselen van bedrijfsvoering en met de voorwaarden van deze Overeenkomst:
a. gelden die het Fonds op enig moment niet nodig heeft voor zijn activiteiten of voor de Reserve tot zekerheidstelling beleggen in financiële instrumenten zoals door het Fonds te bepalen;
b. de andere bevoegdheden uitoefenen die noodzakelijk zijn ter bevordering van de doelstellingen en taken van het Fonds en ter uitvoering van de bepalingen van deze Overeenkomst.
D. Algemene beginselen van bedrijfsvoering
5 Het Fonds verricht zijn activiteiten overeenkomstig de bepalingen van deze Overeenkomst en de regels en voorschriften die door de Raad van Bestuur kunnen worden aangenomen.
6 Het Fonds verricht zijn activiteiten op een wijze die verenigbaar is met goede praktijken voor verantwoord financieel beheer van publieke gelden.

Artikel 17
A. Middelen
1 De middelen van de Kapitaalrekening bestaan uit:
a. inschrijvingen door Leden op aandelen in het kapitaal, met uitzondering van het gedeelte van hun inschrijvingen dat overeenkomstig artikel 9, derde lid, aan de Activiteitenrekening kan zijn toegewezen;
b. aan de Kapitaalrekening toegewezen vrijwillige bijdragen;
c. inkomsten die voortvloeien uit het investeren of deponeren van de middelen van de Kapitaalrekening;
d. inkomsten die het Fonds ontvangt als dienstverlener uit hoofde van artikel 3, onderdeel c;
e. inkomsten die het Fonds ontvangt voor het administreren en beheren van de Trustfondsen;
f. inkomsten die het Fonds ontvangt in de vorm van interest, servicetoeslagen, bereidstellingsprovisie en andere kosten die voortvloeien uit financiële interventies;
g. middelen die vanuit de Activiteitenrekening aan de Kapitaalrekening zijn toegewezen in overeenstemming met artikel 16, derde lid;
h. leningen; en
i. de Reserve tot zekerheidstelling.
B. Gebruik van de kapitaalmiddelen op de Kapitaalrekening
2 Kapitaal dat aan de Kapitaalrekening is toegewezen wordt uitsluitend ingezet om inkomsten te genereren:
a. om de administratiekosten van het Fonds te dekken; en
b. die aan de Reserve tot zekerheidsstelling worden toegewezen, of anderszins aangewend op de wijze die de Raad van Bestuur besluit in overeenstemming met artikel 13, tweede lid, onderdeel a, en derde lid.
3 Voor de toepassing van artikel 17, tweede lid, wordt het kapitaal dat aan de Kapitaalrekening wordt toegewezen geïnvesteerd en/of gedeponeerd in overeenstemming met de door de Raad van Bestuur aangenomen regels en voorschriften. Bij deze regels en voorschriften wordt terdege rekening gehouden met de doelstelling dat dit kapitaal te allen tijde intact blijft en op generlei wijze wordt verpand of bezwaard.

Artikel 18
A. Middelen
1 De middelen van de Activiteitenrekening bestaan uit:
a. het deel van het kapitaal dat aan de Activiteitenrekening is toegewezen in overeenstemming met artikel 9, derde lid;
b. aan de Activiteitenrekening toegewezen vrijwillige bijdragen;
c. inkomsten die van tijd tot tijd kunnen voortvloeien uit het investeren of deponeren van de middelen van de Activiteitenrekening;
d. middelen die vanuit de Kapitaalrekening aan de Activiteitenrekening zijn toegewezen in overeenstemming met artikel 16, derde lid; en
e. alle andere middelen die ten behoeve van uit hoofde van de Activiteitenrekening te verrichten activiteiten ter beschikking van het Fonds zijn gesteld of door het Fonds zijn ontvangen of verworven.
B. Financiële grenzen van de Activiteitenrekening
2 Het totale bedrag aan financiële interventies dat het Fonds op enig moment verplicht is te verstrekken, mag de middelen van de Activiteitenrekening nooit te boven gaan.
C. Beginselen van de activiteiten uit hoofde van de Activiteitenrekening
3 Het Fonds kan leningen verstrekken of daarin deelnemen en, behalve wat het gedeelte van het kapitaal betreft dat aan de Activiteitenrekening is toegewezen, elk ander type financiële interventie plegen ten behoeve van de financiering van maatregelen op het gebied van grondstoffen uit de middelen van de Activiteitenrekening, zulks met inachtneming van de bepalingen van deze Overeenkomst en in het bijzonder van de hiernavolgende voorwaarden:
a. Het dienen innovatieve maatregelen te zijn op het gebied van de ontwikkeling van grondstoffen, die erop zijn gericht de marktstructuur te verbeteren en de concurrentiepositie en vooruitzichten op de lange termijn met betrekking tot bepaalde grondstoffen te verbeteren, of alle overige maatregelen die kunnen zijn opgenomen in de door de Raad van Bestuur aangenomen regels en voorschriften of richtlijnen.
b. De activiteiten van het Fonds in het kader van de Activiteitenrekening kunnen de vorm van elk type financiële interventie aannemen. Alle financiële interventies worden gepleegd op de voorwaarden die het College van Bewindvoerders passend acht.

Artikel 19
Het Fonds heeft een Raad van Bestuur, een College van Bewindvoerders, een Raadgevend Comité, een Directeur en de staf en medewerkers die nodig zijn om de taken van het Fonds te kunnen vervullen.

Artikel 20
1 Alle bevoegdheden van het Fonds berusten bij de Raad van Bestuur.
2 Elk Lid benoemt een bestuurder en een plaatsvervanger die ten genoegen van het Lid dat hen benoemt, in de Raad van Bestuur hun ambt vervullen. De plaatsvervanger kan deelnemen aan vergaderingen, maar heeft alleen stemrecht bij afwezigheid van de bestuurder wiens plaatsvervanger hij is.
3 De Raad van Bestuur kan het College van Bewindvoerders machtigen alle bevoegdheden van de Raad van Bestuur uit te oefenen, met uitzondering van de bevoegdheid inzake:
a. het bepalen van het fundamentele beleid van het Fonds;
b. het vaststellen van de voorwaarden voor toetreding tot deze Overeenkomst overeenkomstig artikel 56;
c. het schorsen van een Lid;
d. het verhogen of verlagen van het aantal aandelen in het kapitaal;
e. het beslissen over het verzilveren van promesses uit hoofde van artikel 10;
f. het aannemen van wijzigingen van deze Overeenkomst;
g. het beëindigen van de activiteiten van het Fonds en het verdelen van de activa van het Fonds overeenkomstig het bepaalde in Hoofdstuk VIII;
h. het benoemen van de Directeur;
i. het nemen van beslissingen naar aanleiding van een beroep van een Lid tegen een besluit van het College van Bewindvoerders betreffende de uitlegging of toepassing van deze Overeenkomst;
j. het goedkeuren van de door accountants gecontroleerde jaarrekening van het Fonds;
k. het nemen van beslissingen ingevolge artikel 13, derde lid, inzake de netto-inkomsten, nadat in de Reserve tot zekerheidstelling is voorzien;
l. het goedkeuren van voorgestelde overeenkomsten met andere internationale organisaties in overeenstemming met artikel 29, eerste en tweede lid, met uitzondering van overeenkomsten inzake afzonderlijke financiële interventies;
m. het nemen van beslissingen inzake de aanvulling van de Activiteitenrekening overeenkomstig artikel 12.
4 De Raad van Bestuur houdt een jaarvergadering alsmede de bijzondere vergaderingen waartoe deze besluit of om bijeenroeping waarvan wordt verzocht door 15 bestuurders die ten minste een kwart van het aantal stemmen bezitten, dan wel op verzoek van het College van Bewindvoerders.
5 Het quorum voor een vergadering van de Raad van Bestuur wordt gevormd door een meerderheid van de bestuurders die ten minste twee derde van het totale aantal stemmen bezitten.
6 De Raad van Bestuur stelt met een versterkt gekwalificeerde meerderheid de met deze Overeenkomst verenigbare regels en voorschriften vast die nodig worden geacht voor de bedrijfsvoering van het Fonds.
7 Bestuurders en plaatsvervangers bekleden hun functie zonder vergoeding van het Fonds, tenzij de Raad van Bestuur met een gekwalificeerde meerderheid besluit hun een redelijke vergoeding per dag te betalen plus de reis- en verblijfkosten gemaakt in verband met het bijwonen van vergaderingen.
8 Tijdens elke jaarvergadering kiest de Raad van Bestuur een van de bestuurders tot Voorzitter.
De Voorzitter bekleedt zijn functie tot de verkiezing van zijn opvolger en kan voor één volgende ambtstermijn worden herkozen.

Artikel 21
1 De stemmen in de Raad van Bestuur worden onder de Lidstaten verdeeld overeenkomstig Bijlage D.
2 Besluiten van de Raad van Bestuur worden zoveel mogelijk zonder stemming genomen.
3 Behoudens voor zover anders in deze Overeenkomst is bepaald, worden besluiten ten aanzien van alle aangelegenheden die in behandeling zijn bij de Raad van Bestuur met een gewone meerderheid genomen.

Artikel 22
1 Het College van Bewindvoerders is verantwoordelijk voor het uitvoeren van de activiteiten van het Fonds en brengt daarover verslag uit aan de Raad van Bestuur. Het College van Bewindvoerders oefent hiertoe de bevoegdheden uit die dit College elders in deze Overeenkomst zijn toegekend of eraan zijn overgedragen door de Raad van Bestuur. Bij de uitoefening van aan het College van Bewindvoerders overgedragen bevoegdheden, neemt het College besluiten met dezelfde meerderheid die vereist zou zijn wanneer deze bevoegdheden bij de Raad van Bestuur zouden berusten.
2 Tenzij de Raad van Bestuur met een versterkt gekwalificeerde meerderheid anders besluit, bestaat het College van Bewindvoerders uit ten minste 20 en ten hoogste 25 bewindvoerders. Elke bewindvoerder heeft één plaatsvervanger.
3 De bewindvoerders en één plaatsvervanger per bewindvoerder worden door de Raad van Bestuur gekozen op de wijze omschreven in Bijlage E.
4 Elke bewindvoerder en zijn plaatsvervanger worden gekozen voor een termijn van twee jaar en kunnen worden herkozen.
Zij blijven in functie totdat hun opvolgers zijn gekozen. Een plaatsvervanger kan deelnemen aan vergaderingen, maar heeft alleen stemrecht bij afwezigheid van de bewindvoerder wiens plaatsvervanger hij is.
5 Het College van Bewindvoerders vervult zijn taken op het hoofdkantoor van het Fonds en vergadert zo vaak als de activiteiten van het Fonds dit vereisen.
6 De bewindvoerders en hun plaatsvervangers bekleden hun functie zonder dat zij daarvoor van het Fonds een bezoldiging ontvangen. Het Fonds kan hun evenwel een redelijke vergoeding per dag betalen plus de reis- en verblijfkosten gemaakt in verband met het bijwonen van vergaderingen.
7 Het quorum voor een vergadering van het College van Bewindvoerders wordt gevormd door een meerderheid van de bewindvoerders die ten minste twee derde van het totale aantal stemmen bezitten.
8 Het College van Bewindvoerders nodigt de Secretaris-Generaal van de UNCTAD uit de vergaderingen van het College van Bewindvoerders als waarnemer bij te wonen.
9 Het College van Bewindvoerders kan de vertegenwoordigers van andere belanghebbende internationale organen uitnodigen zijn vergaderingen als waarnemer bij te wonen.

Artikel 23
1 Elke bewindvoerder is gerechtigd het aantal stemmen uit te brengen dat aan de Leden die hij vertegenwoordigt, is toegewezen. Deze stemmen behoeven niet als een blok te worden uitgebracht.
2 Besluiten van het College van Bewindvoerders worden zoveel mogelijk zonder stemming genomen.
3 Behoudens voor zover anders in deze Overeenkomst is bepaald, worden besluiten ten aanzien van alle aangelegenheden die in behandeling zijn bij het College van Bewindvoerders met een gewone meerderheid genomen.

Artikel 24
1 De Raad van Bestuur benoemt met een gekwalificeerde meerderheid de Directeur. Indien de te benoemen persoon op het tijdstip van zijn benoeming bestuurder of bewindvoerder of plaatsvervanger is, legt hij deze functie neer alvorens zijn taken als Directeur aan te vangen.
2 De Directeur is de hoogste functionaris van het Fonds en leidt volgens de aanwijzingen van de Raad van Bestuur en het College van Bewindvoerders de dagelijkse activiteiten van het Fonds.
3 De ambtstermijn van de Directeur bedraagt vier jaar en hij kan worden herbenoemd voor één daaropvolgende termijn. Hij treedt echter af wanneer de Raad van Bestuur met een gekwalificeerde meerderheid daartoe besluit.
4 De Directeur is verantwoordelijk voor de organisatie van het personeel alsmede voor de benoeming en het ontslag van personeelsleden overeenkomstig de door het Fonds aan te nemen regels en voorschriften. Bij het benoemen van het personeel houdt de Directeur rekening met het primaire belang een zo hoog mogelijke mate van efficiency en technische bekwaamheid te verzekeren, en besteedt hij naar behoren aandacht aan de werving van het personeel op een zo breed mogelijke geografische basis.
5 De Directeur en het personeel staan bij het vervullen van hun taken uitsluitend in dienst van het Fonds en stellen hun diensten aan geen enkele andere autoriteit ter beschikking. Elk Lid eerbiedigt de internationale aard van deze dienstbetrekking en onthoudt zich van elke poging de Directeur of een personeelslid bij het vervullen van deze taken te beïnvloeden.

Artikel 25
Het Fonds handhaaft het ter beschikking stellen van een Raadgevend Comité aan het College van Bewindvoerders, dat is ingesteld en functioneert overeenkomstig de door de Raad van Bestuur aangenomen regels en voorschriften, om de activiteiten uit hoofde van de Activiteitenrekening te vergemakkelijken.

Artikel 26
1 De administratiekosten van het Fonds worden gedekt door de middelen van de Kapitaalrekening.
2 De Directeur stelt een jaarlijkse administratieve begroting op, die door het College van Bewindvoerders wordt bestudeerd en voorzien van zijn aanbevelingen ter goedkeuring aan de Raad van Bestuur wordt toegezonden.
3 De Directeur draagt er zorg voor dat de jaarrekening van het Fonds jaarlijks door een onafhankelijke en externe accountant wordt gecontroleerd. De door de accountants gecontroleerde jaarrekening wordt, na door het College van Bewindvoerders te zijn bestudeerd, voorzien van zijn aanbevelingen ter goedkeuring aan de Raad van Bestuur toegezonden.

Artikel 27
De zetel van het Fonds is gevestigd in Amsterdam, Nederland, tenzij de Raad van Bestuur met een gekwalificeerde meerderheid anderszins besluit. Bij besluit van de Raad van Bestuur kan het Fonds, indien nodig, andere kantoren op het grondgebied van enig Lid vestigen.

Artikel 28
Het Fonds publiceert en zendt aan de Leden een jaarverslag met een door accountants gecontroleerde jaarrekening. Na aanvaarding door de Raad van Bestuur worden dit jaarverslag en deze jaarrekening eveneens ter kennisneming gezonden aan de Algemene Vergadering van de Verenigde Naties, de Raad voor Handel en Ontwikkeling van de UNCTAD en andere belanghebbende internationale organisaties.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK VI — ORGANISATIE EN BEHEER
Artikel 29
1 Het Fonds kan onderhandelingen aangaan met de Verenigde Naties om een overeenkomst tot stand te brengen ten einde betrekkingen aan te knopen met de Verenigde Naties als een van de gespecialiseerde organisaties bedoeld in artikel 57 van het Handvest van de Verenigde Naties. Voor overeenkomsten tot stand gekomen ingevolge artikel 63 van het Handvest is de goedkeuring vereist van de Raad van Bestuur op aanbeveling van het College van Bewindvoerders.
2 Het Fonds kan nauw samenwerken met lichamen en organisaties binnen het systeem van de Verenigde Naties, en indien dit wenselijk wordt geacht, overeenkomsten tot stand brengen met deze organen.
3 Het Fonds streeft ernaar werkrelaties op te zetten met ICB’s en andere internationale organisaties en met publieke en private organen die zich bezighouden met activiteiten die verband houden met die van het Fonds en financiële ondersteuning te verwerven voor de doelstellingen van het Fonds uit alle beschikbare bronnen. In de onderlinge betrekkingen tussen het Fonds en deze organisaties en organen respecteert elke partij de autonomie van de ander.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK VII — TERUGTREKKING DOOR EN SCHORSING VAN LEDEN
Artikel 30
Behoudens het bepaalde in artikel 34, tweede lid, en met inachtneming van het bepaalde in artikel 32 kan een Lid zich te allen tijde uit het Fonds terugtrekken door middel van een schriftelijke kennisgeving daarvan aan het Fonds. De terugtrekking wordt van kracht op de in de kennisgeving aangegeven datum, doch niet eerder dan twaalf maanden na ontvangst van de kennisgeving door het Fonds.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK VII — TERUGTREKKING DOOR EN SCHORSING VAN LEDEN
Artikel 31
1 Behoudens het bepaalde in artikel 34, tweede lid, kan de Raad van Bestuur met een gekwalificeerde meerderheid een Lid schorsen, indien dit Lid nalaat een van zijn financiële verplichtingen jegens het Fonds na te komen. Het aldus geschorste Lid houdt automatisch op Lid te zijn met ingang van één jaar na de datum van de schorsing, tenzij de Raad besluit de schorsing met één jaar te verlengen.
2 Wanneer de Raad van Bestuur zich ervan overtuigd heeft dat het geschorste Lid zijn financiële verplichtingen jegens het Fonds is nagekomen, herstelt de Raad het Lid in ere.
3 Tijdens zijn schorsing is het het Lid niet toegestaan enig recht ingevolge deze Overeenkomst uit te oefenen, behalve het recht van terugtrekking en het recht op arbitrage tijdens de beëindiging van de activiteiten van het Fonds. Het Lid blijft evenwel onderworpen aan de nakoming van alle hem ingevolge deze Overeenkomst opgelegde verplichtingen.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK VII — TERUGTREKKING DOOR EN SCHORSING VAN LEDEN
Artikel 32
1 Wanneer een Lid ophoudt Lid te zijn, blijft het daarna aansprakelijk voor het voldoen van de daarvóór door het Fonds opgevraagde bedragen en van de uitstaande betalingen op de datum waarop het Lid is opgehouden Lid te zijn met betrekking tot zijn verplichtingen jegens het Fonds.
2 Wanneer een Lid ophoudt Lid te zijn, treft het Fonds als onderdeel van de vereffening van de rekeningen met dat Lid regelingen voor het terugkopen van zijn aandelen, in overeenstemming met artikel 16, tweede en derde lid. De prijs waarvoor de aandelen worden teruggekocht is gelijk aan de waarde in U.S. dollars die is aangegeven in de boeken van het Fonds op de datum waarop het Lid ophoudt Lid te zijn, met dien verstande dat aldus aan het Lid verschuldigde bedragen door het Fonds kunnen worden aangewend ter voldoening van uitstaande verplichtingen van dat Lid jegens het Fonds ingevolge het eerste lid van dit artikel.

Artikel 33
In urgente gevallen kan het College van Bewindvoerders activiteiten van het Fonds tijdelijk opschorten wanneer het zulks noodzakelijk acht, totdat de Raad van Bestuur in de gelegenheid is zich nader te beraden en maatregelen te nemen.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK VIII — OPSCHORTING EN BEËINDIGING VAN ACTIVITEITEN EN VEREFFENING VAN VERPLICHTINGEN
Artikel 34
1 De Raad van Bestuur kan de activiteiten van het Fonds beëindigen bij een besluit door middel van stemming dat is genomen door twee derde van het totaal aantal bestuurders die ten minste driekwart van het totaal aantal stemmen bezitten. Na deze beëindiging staakt het Fonds onmiddellijk alle activiteiten, behalve die welke noodzakelijk zijn voor het ordelijk te gelde maken en in stand houden van zijn activa en het vereffenen van zijn uitstaande verplichtingen.
2 Totdat de definitieve vereffening van deze verplichtingen en definitieve verdeling van deze activa heeft plaatsgevonden, blijft het Fonds bestaan en blijven alle rechten en verplichtingen van het Fonds en zijn Leden ingevolge deze Overeenkomst onverlet, met dien verstande dat een Lid zich niet kan terugtrekken of kan worden geschorst nadat het besluit tot beëindiging is genomen.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK VIII — OPSCHORTING EN BEËINDIGING VAN ACTIVITEITEN EN VEREFFENING VAN VERPLICHTINGEN
Artikel 35
1 Het College van Bewindvoerders treft de noodzakelijke maatregelen om te verzekeren dat de activa van het Fonds ordelijk te gelde worden gemaakt. Voordat betalingen aan crediteuren die directe vorderingen hebben, plaatsvinden, zorgt het College met een gekwalificeerde meerderheid van stemmen voor de waarborgen en treft het de maatregelen die naar zijn mening noodzakelijk zijn om te verzekeren dat een verdeling onder de houders van directe vorderingen en de houders van voorwaardelijke vorderingen naar evenredigheid plaatsvindt.
2 Er vindt ingevolge dit hoofdstuk geen verdeling van activa plaats, voordat:
a. aan alle verplichtingen van de betrokken Rekening is voldaan of daarvoor voorzieningen zijn getroffen; en
b. de Raad van Bestuur met een gekwalificeerde meerderheid heeft besloten tot een verdeling over te gaan.
3 Na een besluit van de Raad van Bestuur ingevolge het tweede lid, onderdeel b, van dit artikel verdeelt het College van Bewindvoerders de resterende activa van de rekening in kwestie totdat al deze activa zijn verdeeld.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK VIII — OPSCHORTING EN BEËINDIGING VAN ACTIVITEITEN EN VEREFFENING VAN VERPLICHTINGEN
Artikel 36
1 Aan de verplichtingen jegens crediteuren van het Fonds wordt gelijkelijk uit de activa van de Kapitaalrekening voldaan.
2 Verdeling van de activa van de Kapitaalrekening die resteren na de verdeling zoals voorzien in het eerste lid van dit artikel, vindt plaats naar rato van hun inschrijvingen op aandelen in het kapitaal dat aan de Kapitaalrekening is toegewezen.

Artikel 37
1 Aan verplichtingen die door het Fonds in verband met activiteiten uit hoofde van de Activiteitenrekening zijn aangegaan wordt uit de middelen van de Activiteitenrekening voldaan.
2 Verdeling van eventuele resterende activa van de Activiteitenrekening vindt eerst plaats onder de Leden, tot de waarde van hun inschrijving op aandelen in het kapitaal dat ingevolge artikel 9, derde lid, aan die Rekening werd toegewezen, en vervolgens onder degenen die aan die Rekening hebben bijgedragen naar evenredigheid van hun aandeel in het totale, ingevolge artikel 12 bijgedragen, bedrag.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK VIII — OPSCHORTING EN BEËINDIGING VAN ACTIVITEITEN EN VEREFFENING VAN VERPLICHTINGEN
Artikel 38
1 Overige activa worden te gelde gemaakt op een of meerdere door de Raad van Bestuur vast te stellen tijdstippen, met inachtneming van de door het College van Bewindvoerders gedane aanbevelingen en overeenkomstig de door dit College met een gekwalificeerde meerderheid vastgestelde procedures.
2 Opbrengsten uit de verkoop van deze activa worden gebruikt om naar evenredigheid te voldoen aan de verplichtingen bedoeld in artikel 36, eerste lid, en artikel 37, eerste lid. Resterende activa worden verdeeld onder de Leden naar evenredigheid van hun inschrijving op aandelen in het kapitaal.

Artikel 39
Ten einde het Fonds in staat te stellen de aan het Fonds toevertrouwde taken te vervullen, worden de in dit hoofdstuk vermelde rechtspositie, voorrechten en immuniteiten aan het Fonds toegekend op het grondgebied van elk Lid.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK IX — RECHTSPOSITIE, VOORRECHTEN EN IMMUNITEITEN
Artikel 40
Het Fonds bezit volledige rechtspersoonlijkheid en heeft in het bijzonder de bevoegdheid internationale verdragen met Staten en internationale organisaties tot stand te brengen, overeenkomsten aan te gaan, roerende en onroerende zaken te verwerven of te vervreemden en rechtsgedingen te voeren.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK IX — RECHTSPOSITIE, VOORRECHTEN EN IMMUNITEITEN
Artikel 41
1 Het Fonds geniet immuniteit van iedere vorm van rechtsvervolging, behalve ter zake van vorderingen die tegen het Fonds kunnen worden ingesteld door:
a. verstrekkers van leningen aan het Fonds, met betrekking tot deze leningen;
b. kopers en houders van door het Fonds uitgegeven waardepapieren, met betrekking tot deze waardepapieren; en
c. belanghebbende curators en cessionarissen, met betrekking tot bovengenoemde transacties.
Deze vorderingen kunnen slechts bij bevoegde rechtbanken worden ingesteld in plaatsen die het Fonds schriftelijk met de andere partij is overeengekomen. Indien echter ten aanzien van de forumkeuze niets is bepaald of indien een akkoord met betrekking tot de bevoegdheid van deze rechtbank geen gevolgen heeft om redenen die geen fout betreffen van de partij die tegen het Fonds een geding aanspant, kan deze vordering bij een bevoegde rechtbank worden ingesteld in de plaats waar het Fonds zijn zetel heeft of waar het een vertegenwoordiger heeft aangewezen voor de betekening van exploten.
2 Tegen het Fonds mag door Leden geen geding aanhangig worden gemaakt, behoudens in de in het eerste lid van dit artikel genoemde gevallen. Ter regeling van geschillen tussen het Fonds en Leden kunnen deze laatste niettemin gebruik maken van daartoe in deze Overeenkomst en in door het Fonds aangenomen regels en voorschriften opgenomen bijzondere procedures.
3 Niettegenstaande het bepaalde in het eerste lid van dit artikel worden de eigendommen en activa van het Fonds, ongeacht waar zij zich bevinden en wie hen onder zich heeft, gevrijwaard van onderzoek, iedere vorm van beslag, beslaglegging, alle vormen van inbeslagneming, dwangbevelen of andere wettelijke maatregelen waardoor de betaling van gelden wordt verhinderd en zijn deze eigendommen en activa tevens vrij van andere voorlopige maatregelen genomen voordat een eindvonnis tegen het Fonds door een overeenkomstig het eerste lid van dit artikel bevoegde rechtbank is uitgesproken. Het Fonds kan met zijn crediteuren overeenkomen de eigendommen en activa te beperken die voorwerp van executie kunnen zijn in verband met de tenuitvoerlegging van een eindvonnis.

Artikel 42
De eigendommen en activa van het Fonds, ongeacht waar zij zich bevinden of wie hen onder zich heeft, worden gevrijwaard van onderzoek, vordering, inbeslagneming, onteigening of alle andere vormen van inmenging of beslag op last van uitvoerende of wetgevende macht.

Artikel 43
Het archief van het Fonds, ongeacht waar dit zich bevindt, is onschendbaar.

Artikel 44
Voor zover dat voor de uitvoering van de in deze Overeenkomst voorziene activiteiten nodig is en behoudens de bepalingen van deze Overeenkomst, zijn alle eigendommen en activa van het Fonds vrijgesteld van beperkingen, voorschriften, controles en moratoria van welke aard ook.

Artikel 45
Voor zover verenigbaar met van kracht zijnde internationale verdragen inzake telecommunicatie totstandgekomen onder de auspiciën van de Internationale Telecommunicatie Unie waarbij een Lid partij is, wordt door elk Lid aan de officiële mededelingen van het Fonds dezelfde behandeling toegekend als aan de officiële mededelingen van andere Leden.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK IX — RECHTSPOSITIE, VOORRECHTEN EN IMMUNITEITEN
Artikel 46
Alle bestuurders, bewindvoerders, hun plaatsvervangers, de Directeur, leden van het Raadgevend Comité, deskundigen die voor het Fonds een opdracht vervullen alsmede de personeelsleden die geen deel uitmaken van het huishoudelijk personeel van het Fonds:
a. genieten immuniteit van rechtsvordering ter zake van handelingen uit hoofde van hun ambt verricht, tenzij het Fonds afstand doet van deze immuniteit;
b. wordt, evenals aan hun gezinsleden die deel uitmaken van hun huishouding, voor zover zij niet de nationaliteit van het desbetreffende Lid bezitten, dezelfde immuniteit van immigratiebeperkingen, registratieplicht voor vreemdelingen en militaire dienstplicht en dezelfde faciliteiten ten aanzien van deviezenbeperkingen toegekend, die door dit Lid aan vertegenwoordigers, functionarissen en personeel van vergelijkbare rang in dienst van andere internationale financiële instellingen waarvan het lid is, wordt toegekend;
c. genieten dezelfde behandeling op het gebied van reisfaciliteiten, die door elk Lid aan vertegenwoordigers, functionarissen en personeel van vergelijkbare rang in dienst van andere internationale financiële instellingen waarvan het lid is, wordt toegekend.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK IX — RECHTSPOSITIE, VOORRECHTEN EN IMMUNITEITEN
Artikel 47
1 Binnen de grenzen van zijn officiële activiteiten zijn het Fonds, zijn activa, eigendommen, inkomsten en de activiteiten en transacties waartoe het uit hoofde van deze Overeenkomst is gemachtigd, vrijgesteld van alle directe belastingen en alle douanerechten op voor zijn officiële gebruik ingevoerde of uitgevoerde goederen, met dien verstande dat een Lid daardoor niet belet wordt zijn normale belastingen en douanerechten te heffen op grondstoffen die van oorsprong afkomstig zijn van het grondgebied van dat Lid en die door omstandigheden aan het Fonds zijn verbeurd. Het Fonds maakt geen aanspraak op vrijstelling van belastingen die slechts heffingen voor verleende diensten zijn.
2 Wanneer door of namens het Fonds goederen worden gekocht of gebruik wordt gemaakt van diensten waarmee een aanzienlijk bedrag is gemoeid en die nodig zijn voor de uitoefening van de officiële activiteiten van het Fonds en wanneer in de prijs daarvan belastingen of douanerechten zijn begrepen, treft het betrokken Lid met inachtneming van zijn wetgeving voor zover mogelijk passende maatregelen ten einde vrijstelling van deze belastingen of douanerechten te verlenen of te voorzien in de terugbetaling daarvan. De met een vrijstelling als bedoeld in dit artikel ingevoerde of gekochte goederen worden niet binnen het grondgebied van het Lid dat de vrijstelling verleende, verkocht of op andere wijze vervreemd, behalve op met dat Lid overeengekomen voorwaarden.
3 Er wordt door Leden geen belasting geheven op of ter zake van salarissen en vergoedingen of enige andere vorm van betaling door het Fonds aan bestuurders, bewindvoerders, hun plaatsvervangers, leden van het Raadgevend Comité, de Directeur en het personeel alsmede aan deskundigen die voor het Fonds een opdracht vervullen, die geen inwoner of onderdaan zijn of anderszins onder hun rechtsmacht vallen. Voor de toepassing van dit artikel 47, derde lid, wordt elke persoon die uit hoofde van zijn woonplaats of gewone verblijfplaats onderworpen is aan de belastingwetten van een Lid beschouwd als een onderdaan van het betrokken Lid.
4 Er wordt geen belasting van welke aard ook geheven op door het Fonds uitgegeven of gegarandeerde schuld- of waardepapieren, met inbegrip van de dividenden en interesten daarvan, ongeacht door wie zij worden gehouden:
a. die ten nadele van een dergelijk schuld- of waardepapier is, uitsluitend omdat het door het Fonds is uitgegeven of gegarandeerd; of
b. indien de enige rechtsgrond voor een dergelijke belasting zou zijn de plaats waar of de valuta waarin de papieren zijn uitgegeven of waarin zij luiden, betaalbaar gesteld of betaald zijn, of de plaats waar een kantoor van het Fonds gevestigd is of waar het zijn activiteiten uitoefent.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK IX — RECHTSPOSITIE, VOORRECHTEN EN IMMUNITEITEN
Artikel 48
1 De immuniteiten, vrijstellingen en voorrechten bedoeld in dit hoofdstuk worden verleend in het belang van het Fonds. Het Fonds kan besluiten, in de mate en op voorwaarden door hem te bepalen, afstand te doen van de in dit hoofdstuk bedoelde immuniteiten, vrijstellingen en voorrechten, indien hierdoor de belangen van het Fonds niet worden geschaad.
2 De Directeur heeft de bevoegdheid, zoals deze aan hem door de Raad van Bestuur kan zijn gedelegeerd, en de plicht de immuniteit van een personeelslid en van deskundigen die voor het Fonds een opdracht vervullen, op te heffen indien immuniteit de rechtsgang zou belemmeren en deze kan worden opgeheven zonder de belangen van het Fonds te schaden.

Artikel 49
Elk Lid onderneemt de nodige stappen met het doel op zijn grondgebied de beginselen en verplichtingen vervat in dit hoofdstuk, toe te passen.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK X — WIJZIGINGEN
Artikel 50
1
a. Elk voorstel van een Lid tot wijziging van deze Overeenkomst wordt door de Directeur ter kennis gebracht van alle Leden en voorgelegd aan het College van Bewindvoerders dat zijn aanbevelingen ter zake voorlegt aan de Raad van Bestuur.
b. Elk voorstel van het College van Bewindvoerders tot wijziging van deze Overeenkomst wordt door de Directeur ter kennis gebracht van alle Leden en voorgelegd aan de Raad van Bestuur.
2 Wijzigingen worden door de Raad van Bestuur met een versterkt gekwalificeerde meerderheid aangenomen, maar treden pas in werking wanneer alle Leden deze aanvaard hebben. Aanvaarding wordt geacht te zijn geschied tenzij een Lid binnen zes maanden na de aanneming van de wijziging de Directeur schriftelijk in kennis stelt van zijn bezwaar. Deze termijn kan op verzoek van een Lid door de Raad van Bestuur worden verlengd op het tijdstip waarop de wijziging wordt aangenomen.
3 De Directeur stelt alle Leden en de depositaris onverwijld in kennis van wijzigingen die zijn aangenomen en van de datum van inwerkingtreding van deze wijzigingen.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK XI — UITLEGGING EN ARBITRAGE
Artikel 51
1 Elke kwestie omtrent de uitlegging of toepassing van de bepalingen van deze Overeenkomst tussen een Lid en het Fonds of tussen de Leden van het Fonds onderling, wordt aan het College van Bewindvoerders ter beslissing voorgelegd. Dit Lid of deze Leden heeft/hebben het recht deel te nemen aan de beraadslagingen van het College van Bewindvoerders gedurende de behandeling van de desbetreffende kwestie overeenkomstig de door de Raad van Bestuur aan te nemen regels en voorschriften.
2 In ieder geval waarin het College van Bewindvoerders ingevolge het eerste lid van dit artikel een beslissing heeft genomen, mag ieder Lid binnen drie maanden vanaf de datum van de kennisgeving van de beslissing verzoeken dat de kwestie wordt voorgelegd aan de Raad van Bestuur, die bij zijn eerstvolgende vergadering met een versterkt gekwalificeerde meerderheid een beslissing neemt. De beslissing van de Raad van Bestuur is definitief.
3 Wanneer de Raad van Bestuur er niet in slaagt tot een beslissing ingevolge het tweede lid van dit artikel te komen, wordt de kwestie voorgelegd voor arbitrage overeenkomstig de procedures die zijn vervat in artikel 52, tweede lid, indien een Lid daarom verzoekt binnen drie maanden na de laatste dag waarop de kwestie door de Raad van Bestuur is behandeld.
Overeenkomst tot instelling van het Gemeenschappelijk Fonds voor Grondstoffen › HOOFDSTUK XI — UITLEGGING EN ARBITRAGE
Artikel 52
1 Elk geschil tussen het Fonds en een Lid dat zich heeft teruggetrokken, of tussen het Fonds en een Lid tijdens de beëindiging van de activiteiten van het Fonds, wordt voorgelegd voor arbitrage.
2 Het scheidsgerecht bestaat uit drie scheidsmannen. Elke partij bij het geschil benoemt één scheidsman. Beide aldus benoemde scheidsmannen benoemen de derde scheidsman, die als voorzitter optreedt. Indien binnen 45 dagen na ontvangst van het verzoek om arbitrage een van de partijen geen scheidsman heeft benoemd, of indien binnen 30 dagen na de benoeming van de twee scheidsmannen geen derde is benoemd, kan elk van beide partijen de President van het Internationaal Gerechtshof of een andere autoriteit voorzien in de regels en voorschriften zoals aangenomen door de Raad van Bestuur, verzoeken een scheidsman te benoemen. Indien de President van het Internationaal Gerechtshof ingevolge dit lid is verzocht een scheidsman te benoemen en de President een onderdaan is van een Staat die partij is bij het geschil of niet in staat is zijn taak te vervullen, gaat de bevoegdheid om een scheidsman te benoemen over op de Vice-President van het Hof, of, indien voor hem dezelfde beletsels gelden, op het oudste lid van het Hof, voor wie deze beletsels niet gelden en die het langst deel heeft uitgemaakt van het Hof. De arbitrageprocedure wordt door de scheidsmannen vastgesteld, met dien verstande dat de voorzitter volledig gemachtigd is inzake alle vragen betreffende de procedure een beslissing te nemen indien daaromtrent verschil van mening bestaat. Een meerderheid van stemmen van de scheidsmannen volstaat om tot een definitieve en voor de partijen bindende beslissing te komen.

Artikel 53

Artikel 56
1 Elke Staat of in artikel 4 omschreven intergouvernementele organisatie kan tot deze Overeenkomst toetreden op de tussen de Raad van Bestuur en die Staat of intergouvernementele organisatie overeengekomen voorwaarden. Toetreding geschiedt door nederlegging van een akte van toetreding bij de depositaris.
2 Deze Overeenkomst treedt voor een staat of intergouvernementele organisatie die een akte van toetreding nederlegt in werking op de datum van deze nederlegging.

Artikel 57

1. Leden die volgens de begripsomschrijving van de Verenigde Naties behoren tot de categorie van de minst-ontwikkelde landen, betalen de in artikel 9, eerste lid, onderdeel b, bedoelde aandelen op de volgende wijze:
a. 30 procent wordt in drie gelijke termijnen over een periode van drie jaar voldaan;
b. vervolgens wordt 30 procent voldaan in termijnen op een door het College van Bewindvoerders vast te stellen wijze en tijdstip;
c. na voldoening van de hierboven onder de onderdelen a en b bedoelde percentages, wordt de resterende 40 procent door de Leden gegarandeerd door deponering van niet-herroepbare, niet-overdraagbare, niet-rentedragende promessen en voldaan op een door het College van Bewindvoerders vast te stellen wijze en tijdstip.
2. Niettegenstaande het bepaalde in artikel 31 wordt een land dat deel uitmaakt van de categorie van de minst-ontwikkelde landen, niet als Lid geschorst op grond van het feit dat het zijn in het eerste lid van deze Bijlage bedoelde financiële verplichtingen niet nakomt, alvorens dit land volledig in de gelegenheid is gesteld binnen een redelijke termijn zijn standpunt uiteen te zetten en de Raad van Bestuur van zijn onvermogen deze verplichtingen na te komen, te overtuigen.
Bijlage C — Criteria waaraan internationale grondstoffenorganen moeten voldoen
Bijlage C — Criteria waaraan internationale grondstoffenorganen moeten voldoen
1. Een internationaal grondstoffenorgaan wordt op intergouvernementele grondslag ingesteld en het lidmaatschap daarvan staat open voor alle Staten die Lid zijn van de Verenigde Naties, van een van haar gespecialiseerde organisaties of van de Internationale Organisatie voor Atoomenergie.
2. De werkzaamheden ervan zijn duurzaam gericht op de handel, de productie en het verbruik van de grondstof in kwestie.
3. Leden van een internationaal grondstoffenorgaan zijn producenten en verbruikers die een adequaat aandeel vertegenwoordigen van de uitvoer en invoer van de desbetreffende grondstof.
4. Het internationaal grondstoffenorgaan hanteert een doeltreffend besluitvormingsproces waarin de belangen van zijn deelnemers tot hun recht komen.
5. Het internationaal grondstoffenorgaan dient bevoegd te zijn een geschikte methode aan te nemen om te waarborgen dat iedere technische of andere verplichting die voortvloeit uit zijn betrokkenheid bij de activiteiten uit hoofde van de Activiteitenrekening naar behoren nagekomen wordt.
Bijlage D — Toewijzing van stemmen

1. Elk in artikel 5, onderdeel a, bedoelde Lidstaat bezit:
a. 150 basisstemmen;
b. het aantal stemmen toegewezen in verband met de aandelen in het kapitaal waarop de Lidstaat heeft ingeschreven, zoals vermeld in het aanhangsel bij deze Bijlage;
c. overeenkomstig de derde alinea van deze Bijlage toegewezen stemmen.
2. Elk in artikel 5, onderdeel b, bedoelde Lidstaat bezit:
a. 150 basisstemmen;
b. een aantal stemmen in verband met aandelen in het kapitaal waarop de Lidstaat heeft ingeschreven, door de Raad van Bestuur met een gekwalificeerde meerderheid vast te stellen op een wijze die overeenkomt met de toewijzing van stemmen zoals deze is voorzien in het aanhangsel bij deze Bijlage;
c. overeenkomstig de derde alinea van deze Bijlage toegewezen stemmen.
3. Indien de inschrijving op aandelen in het kapitaal waarop niet is ingeschreven of op bijkomende aandelen in het kapitaal wordt opengesteld overeenkomstig artikel 8, derde lid, onderdeel b, en artikel 11, tweede lid, worden twee bijkomende stemmen aan iedere Lidstaat toegewezen voor elk bijkomend aandeel in het kapitaal waarop deze inschrijft.
4. De Raad van Bestuur houdt de stemverdeling voortdurend in het oog en verricht de noodzakelijke correcties overeenkomstig de fundamentele beginselen voor de verdeling van stemmen zoals deze in het aanhangsel bij deze Bijlage zijn weergegeven, indien de stemverdeling in belangrijke mate afwijkt van verdeling vastgelegd in het aanhangsel bij deze Bijlage. Bij het verrichten van deze correcties houdt de Raad van Bestuur rekening met:
a. het aantal Leden;
b. het aantal aandelen in het kapitaal.

1. Voor de toepassing van deze Bijlage wordt verstaan onder:
„Kandidatuur”: elke twee personen die door een kieskring worden voorgedragen; één persoon voor de functie van bewindvoerder en één als zijn of haar plaatsvervanger.
„Kieskring”, naargelang van de context:
a. elk afzonderlijk Lid dat een aantal stemmen bezit dat gelijk is aan of hoger dan een door de Raad van Bestuur op enig moment vast te stellen aantal; en/of
b. elke groep van Leden die samen een aantal stemmen bezit dat valt tussen het door de Raad van Bestuur uit hoofde van onderdeel a vastgesteld aantal en een lager aantal dat de Raad van Bestuur op enig moment vaststelt.
„Stemmen”: de stemmen die ingevolge Bijlage D aan de respectieve Leden zijn toegewezen.
2. De Bewindvoerders en hun plaatsvervangers worden gekozen door de Raad van Bestuur door goedkeuring van de door de respectieve kieskringen ingediende kandidaturen. De twee personen die een kandidatuur vormen, behoeven niet dezelfde nationaliteit te bezitten
3. Bij elke vergadering van de Raad van Bestuur waar verkiezingen voor bewindvoerders plaatsvinden, stelt elke kieskring één kandidatuur voor. Wanneer de Raad van Bestuur geen goedkeuring verleent aan een kandidatuur, mag de betrokken kieskring tot drie aanvullende kandidaturen voordragen tijdens de betreffende vergadering van de Raad van Bestuur.
4. Met inachtneming van de bepalingen van het eerste lid van deze bijlage mag elke groep Leden naar eigen goeddunken een kieskring instellen. De voorwaarden voor samenwerking, besluitvorming en nominatie van kandidaturen binnen elke kieskring worden door de betrokken Leden zelf vastgesteld.
5. De Raad van Bestuur mag te allen tijde met een versterkt gekwalificeerde meerderheid alle of elk aantal stemmen zoals bedoeld in het eerste lid van deze Bijlage wijzigen.

1. De waarde van één rekeneenheid is gelijk aan de som van de waarde van de volgende munteenheden omgerekend in een van deze valuta:

2. Iedere wijziging in de lijst van valuta die de waarde van de rekeneenheid bepalen en in de bedragen van deze valuta, wordt verricht overeenkomstig de regels en voorschriften die door de Raad van Bestuur met een gekwalificeerde meerderheid zijn aangenomen overeenkomstig de praktijk van een bevoegde internationale monetaire organisatie.
