Article 1

In this agreement:

a) “UNESCO” refers to the United Nations Educational, Scientific and Cultural Organization.

b) “Government” refers to the Kingdom of the Netherlands.

c) “Institute” refers to the IHE Delft Institute for Water Education in the Netherlands.

d) “Parties” refers to the United Nations Educational, Scientific and Cultural Organisation and the Kingdom of the Netherlands.

Article 2

The Government agrees to take, in the course of the year 2024, any measures that may be required for the continued operation of the IHE Delft Institute for Water Education as a category 2 institute under the auspices of UNESCO, as provided for under this Agreement.

Article 3

The purpose of this Agreement is to define the terms and conditions governing collaboration between the Parties regarding the Institute and also the rights and obligations stemming therefrom for the Parties.

Article 4

1 The Institute shall be independent of UNESCO and shall operate and act under Dutch law as an independent organization.

2 The Government shall, in accordance with the laws and regulations of the Netherlands, ensure that the Institute enjoys within its territory the functional autonomy necessary for the execution of its activities and the legal capacity to:

a) contract;

b) institute legal proceedings; and

c) acquire and dispose of movable and immovable property.

Article 5

The Constitutive Act of the Institute shall include provisions describing precisely:

a) the legal status granted to the Institute, within the national legal system, the legal capacity necessary to exercise its functions and to receive funds, obtain payments for services rendered, and acquire all means necessary for its functioning;

b) a governing structure for the Institute allowing UNESCO representation within its Governing Board.

Article 6

The functions and objectives of the Institute shall be to:

a) develop capacity in the water and related sectors at individual, organizational and institutional levels, through education, research and innovation, and institutional strengthening. The Institute contributes to SDG 6 and all water-related SDGs and targets through education and research on relevant topics, including technical knowledge, water governance and knowledge management;

b) enhance capacities – at individual level through the Master of Science and other educational programmes, and institutional level by strengthening competencies targeting governments, civil society and private sector with a special focus on developing countries and countries in transition;

c) promote development and innovation through research, institutional collaboration;

d) promote advocacy and information sharing.

Article 7

1 The Institute shall be guided and overseen by a Governing Board, renewed every three (3) years, and include:

a) a representative of the Government or his/her appointed representative;

b) representatives of Member State(s) and or Associate Member State(s), which have sent to the Institute notification for membership, in accordance with the stipulations of Article 10.2 and have expressed interest in being represented on the Board;

c) a representative of the Director-General of UNESCO.

2 The Governing Board shall:

a) approve the long-term and medium-term programmes of the Institute;

b) approve the annual work plan and budget of the Institute, including the staffing table;

c) examine the annual and evaluation reports submitted by the Director of the Institute, including reports of the Institute’s contribution to UNESCO’s approved programme and budget (C/5), global strategies and action plans as well as sectoral programme priorities, and develop response strategies for strengthening such contribution;

d) examine the periodic independent audit reports of the financial statements of the Institute and monitor the provision of such accounting records necessary for the preparation of financial statements;

e) adopt the rules and regulations and determine the financial, administrative and personnel management procedures for the Institute in accordance with the laws of the country;

f) decide on the participation of regional intergovernmental, international and national organizations in the work of the Institute.

3 The Governing Board shall meet in ordinary session at regular intervals, at least once every calendar year; it shall meet in extraordinary session if convened by its Chairperson, either on his/her own initiative or at the request of the Director-General of UNESCO or of majority of its members.

4 The Governing Board may adopt its own rules of procedure.

Article 8

The Government undertakes to make available to the Institute the following:

a) The Government shall, subject to its relevant and appropriate laws and regulations and following the annual budget appropriation of the Netherlands, provide the financial resources needed for the administration and proper functioning of the Institute. The Government therefore undertakes to grant a base subsidy for these tasks. The size of this base subsidy will be determined by the Government on an annual basis.

b) The Institute may also participate in specific programmes commissioned by the different departments of the Government and/or governmental agencies.

Article 9

1 UNESCO may provide assistance, as needed, in the form of technical assistance for the programme activities of the Institute which are in accordance with UNESCO’s Approved Programme and Budget (C/5), including its strategic goals and objectives by:

a) providing the assistance of its experts in the specialized fields of the Institute;

b) engaging in temporary staff exchanges when appropriate, whereby the staff concerned will remain on the payroll of the dispatching organizations; and

c) seconding members of its staff temporarily, as may be decided by the Director- General of UNESCO on an exceptional basis if justified by the implementation of a joint activity or project within a strategic programme priority area.

2 In all the cases listed above, such assistance shall not be undertaken except within the provisions of UNESCO’s Programme and Budget, and UNESCO shall provide Member States with accounts relating to the use of its staff and associated costs.

Article 10

1 The Institute shall encourage the participation of Member States and Associate Member States of UNESCO which, by their common interest in the objectives of the Institute, desire to cooperate with the Institute.

2 Member States and Associate Member States of UNESCO wishing to participate in the Institute’s activities and to be represented on the Governing Board as a member, as provided for under this Agreement, shall send to the Institute notification to this effect. The Institute shall inform the Parties and other participating Member States and/or Associate Member States of UNESCO of the receipt of such notifications.

Article 11

As the Institute is legally separate from UNESCO, the latter shall not be legally responsible for the acts or omissions of the Institute, and shall also not be subject to any legal process, and/or bear no liabilities of any kind, be they financial or otherwise, with the exception of the provisions expressly laid down in this Agreement.

Article 12

1 UNESCO may, at any time, undertake an evaluation of the activities of the Institute, to be funded by the Institute, in order to ascertain whether:

a) the Institute makes a significant contribution to UNESCO’s prevailing Approved Programme and Budget (C/5) at the time of its renewal, including global strategies and action plans as well as sectoral programme priorities;

b) the activities effectively pursued by the Institute are in conformity with those set out in this Agreement.

2 UNESCO shall, for the purpose of the renewal of this Agreement, conduct an evaluation of the contribution of the Institute to UNESCO’s prevailing Approved Programme and Budget (C/5) at the time of its renewal, including global strategies and action plans, as well as sectoral programme priorities, to be funded by the Institute.

3 UNESCO undertakes to submit to the Government and the Institute, at the earliest opportunity, a report on any evaluation conducted and to make it available on the relevant Programme Sector’s website.

4 Following the results of an evaluation, each of the Parties shall have the option of requesting a revision of the contents of this Agreement or of denouncing this Agreement, as envisaged in Articles 17 and 18.

Article 13

1 The Institute may mention its affiliation with UNESCO. It may therefore use after its title the mention “under the auspices of UNESCO”.

2 The Institute is authorized to use the UNESCO logo or a version thereof on its letter headed paper and documents including electronic documents and websites in accordance with the conditions established by the governing bodies of UNESCO.

3 Use of UNESCO’s name and logo including in the name, on letter headed paper and documents, including electronic documents and web pages of the Institute are strictly prohibited in the absence of a valid agreement with UNESCO.

Article 14

With respect to the Kingdom of the Netherlands, this Agreement shall apply to the European part of the Netherlands.

Article 15

Following its signature by the Parties, this Agreement shall enter into force when the Government has informed UNESCO in writing that all the formalities required to that effect by the domestic law of the Kingdom of the Netherlands have been completed. The date of receipt by UNESCO of the notification shall be deemed to be the date of entry into force of this Agreement. In case this Agreement has not entered into force on 26 July 2024, this Agreement shall be provisionally applied from that date, pending its entry into force.

Article 16

This Agreement is concluded for a period of eight (8) years as from its entry into force or of provisional application. The Agreement shall be renewed or terminated on the basis of a decision by the Executive Board following a recommendation of the Director-General of UNESCO.

Article 17

1 Each of the Parties shall be entitled to denounce this Agreement unilaterally.

2 The denunciation shall take effect on the thirtieth day following the receipt of the notification sent by one of the Parties to the other.

3 In case of denunciation of either this Agreement or the Memorandum of Understanding between UNESCO and the Institute, both this Agreement and the Memorandum of Understanding shall terminate on the same date.

Article 18

This Agreement may be revised by written consent between the Parties. Such revision shall enter into force in accordance with the provisions of Article 15 of this Agreement.

Article 19

Any dispute between UNESCO and the Government concerning the interpretation or application of this Agreement, shall be settled by negotiation or any other appropriate method agreed upon by the Parties.

Article 20

Nothing in or relating to this Agreement shall be deemed a waiver of any of the privileges and immunities of UNESCO.

Artikel 1

In dit Verdrag:

a. verwijst „UNESCO” naar de Organisatie van de Verenigde Naties voor Onderwijs, Wetenschap en Cultuur;

b. verwijst „regering” naar het Koninkrijk der Nederlanden;

c. verwijst „instituut” naar het IHE Delft Institute for Water Education in Nederland;

d. verwijst „partijen” naar de Organisatie van de Verenigde Naties voor Onderwijs, Wetenschap en Cultuur en naar het Koninkrijk der Nederlanden.

Artikel 2

De regering stemt ermee in in de loop van 2024 alle maatregelen te nemen die nodig kunnen zijn voor de voortzetting van het functioneren van het IHE Delft Institute for Water Education als een instituut van categorie 2 onder auspiciën van UNESCO, zoals voorzien in dit Verdrag.

Artikel 3

Doel van het Verdrag is de voorwaarden te formuleren voor de samenwerking tussen de partijen met betrekking tot het instituut, alsmede de daaruit voortvloeiende rechten en verplichtingen van de partijen.

Artikel 4

1 Het instituut is onafhankelijk van UNESCO en opereert en handelt als een onafhankelijke organisatie naar Nederlands recht.

2 De regering ziet erop toe, in overeenstemming met de wet- en regelgeving van Nederland, dat het instituut op haar grondgebied de functionele autonomie geniet die noodzakelijk is voor het verrichten van zijn activiteiten en beschikt over de handelingsbekwaamheid om:

a. overeenkomsten aan te gaan;

b. rechtsvorderingen aanhangig te maken; en

c. roerende en onroerende zaken te verwerven en erover te beschikken.

Artikel 5

De oprichtingsakte van het instituut omvat bepalingen met exacte omschrijvingen van:

a. de rechtspositie die het instituut binnen het nationale rechtssysteem wordt toegekend en de bevoegdheden die nodig zijn voor het vervullen van zijn taken en het ontvangen van middelen, het verkrijgen van betalingen voor verleende diensten en het verwerven van alle middelen voor zijn functioneren;

b. de organisatiestructuur voor het instituut die voorziet in vertegenwoordiging van UNESCO in zijn Raad van Bestuur.

Artikel 6

De taken en doelstellingen van het instituut zijn:

a. ontwikkelen van capaciteit in de watersector en gerelateerde sectoren op individueel, organisatorisch en institutioneel niveau, door onderwijs, onderzoek en innovatie, en institutionele versterking. Het instituut draagt bij aan SDG 6 en alle watergerelateerde SDG’s en streefdoelen door middel van onderwijs en onderzoek over relevante onderwerpen, waaronder technische kennis, waterbestuur en kennismanagement;

b. versterken van capaciteiten op individueel niveau via de Master of Science en andere onderwijsprogramma’s, en op institutioneel niveau door de competenties te versterken die gericht zijn op overheden, het maatschappelijk middenveld en de private sector, met bijzondere aandacht voor ontwikkelingslanden en landen in transitie;

c. bevorderen van ontwikkeling en innovatie door onderzoek, institutionele samenwerking;

d. bevorderen van pleitbezorging en het delen van informatie.

Artikel 7

1 Het instituut wordt geleid door en staat onder toezicht van een Raad van Bestuur, die iedere drie (3) jaar wordt vernieuwd, bestaande uit:

a. een vertegenwoordiger van de regering of zijn/haar benoemde vertegenwoordiger;

b. vertegenwoordigers van de lidstaat/lidstaten en/of de geassocieerde lidstaat/lidstaten die het instituut in overeenstemming met de bepalingen van artikel 10, tweede lid, een kennisgeving van lidmaatschap hebben toegezonden en blijk hebben gegeven van de wens te worden vertegenwoordigd in de Raad van Bestuur;

c. een vertegenwoordiger van de Directeur-Generaal van UNESCO.

2 De Raad van Bestuur:

a. verleent goedkeuring aan de programma's van het instituut voor de middellange en lange termijn;

b. verleent goedkeuring aan het jaarplan voor de werkzaamheden en de begroting van het instituut, met inbegrip van het personeelsbestand;

c. bestudeert de jaarverslagen en evaluatierapporten die door de directeur van het instituut worden ingediend, met inbegrip van rapporten over de bijdrage van het instituut aan het goedgekeurde programma en de goedgekeurde begroting (C/5), mondiale strategieën en actieplannen alsmede sectorale programmaprioriteiten van UNESCO, en ontwikkelt responsestrategieën voor het versterken van deze bijdrage;

d. bestudeert de periodieke onafhankelijke accountantsrapporten van de financiële jaarverslagen van het instituut en monitort de toelevering van dergelijke financiële rapporten die nodig zijn voor het opstellen van de financiële jaarverslagen;

e. neemt de regels en voorschriften aan en stelt de financiële en administratieve procedures alsmede procedures voor het personeelsbeheer voor het instituut vast in overeenstemming met de wetgeving van het land;

f. besluit over de deelname van regionale intergouvernementele organisaties en internationale en nationale organisaties aan het werk van het instituut.

3 De Raad van Bestuur komt met regelmatige tussenpozen en ten minste eenmaal per kalenderjaar in gewone zitting bijeen; hij kan in buitengewone zitting bijeenkomen wanneer de voorzitter, hetzij op eigen initiatief, hetzij op verzoek van de Directeur-Generaal van UNESCO of de meerderheid van hun leden de Raad bijeenroept.

4 De Raad van Bestuur kan zijn eigen reglement van orde vaststellen.

Artikel 8

De regering verplicht zich ertoe het volgende aan het instituut ter beschikking te stellen:

a. De regering verschaft, met inachtneming van haar relevante en toepasselijke wet- en regelgeving en volgend op de jaarlijkse toewijzing door Nederland van begrotingsmiddelen, de financiële middelen die nodig zijn voor het beheer en naar behoren functioneren van het instituut. De regering verplicht zich derhalve ertoe een basissubsidie voor deze taken toe te kennen. De omvang van deze basissubsidie wordt jaarlijks door de regering vastgesteld.

b. Het instituut kan ook deelnemen aan specifieke programma's waartoe de diverse departementen en/of overheidsinstanties opdracht geven.

Artikel 9

1 UNESCO kan wanneer zulks nodig is assistentie verlenen in de vorm van technische ondersteuning voor de programma-activiteiten van het instituut die in overeenstemming zijn met het goedgekeurde programma en de goedgekeurde begroting (C/5) van UNESCO, met inbegrip van haar strategische doelen en doelstellingen door:

a. de assistentie van haar deskundigen ter beschikking te stellen op de gespecialiseerde gebieden van het instituut;

b. waar nodig deel te nemen aan tijdelijke personeelsuitwisselingen, waarbij de medewerkers op de loonlijst van de zendende organisaties blijven; en

c. zijn medewerkers tijdelijk te detacheren, waartoe de Directeur-Generaal van UNESCO bij uitzondering kan besluiten indien zulks gerechtvaardigd wordt door de implementatie van een gemeenschappelijk(e) activiteit of project op een prioritair strategisch programmaterrein.

2 In al de bovengenoemde gevallen wordt dergelijke assistentie uitsluitend verleend binnen de begrotingen en de bepalingen van het programma van UNESCO en UNESCO doet de lidstaten verslagen toekomen van de inzet van zijn medewerkers en de daaraan verbonden kosten.

Artikel 10

1 Het instituut moedigt lidstaten en geassocieerde lidstaten van UNESCO, die vanwege hun gezamenlijk belang bij de doelstellingen van het instituut wensen samen te werken met het instituut, aan daaraan deel te nemen.

2 Lidstaten en geassocieerde lidstaten van UNESCO die wensen deel te nemen aan de activiteiten van het instituut en die als lid vertegenwoordigd willen zijn in de Raad van Bestuur, zoals voorzien in dit Verdrag, zenden het instituut daartoe een kennisgeving. Het instituut stelt de partijen en overige deelnemende lidstaten en/of geassocieerde lidstaten van UNESCO in kennis van de ontvangst van dergelijke kennisgevingen.

Artikel 11

Aangezien het instituut juridisch los staat van UNESCO, is laatstgenoemde niet aansprakelijk voor het handelen of nalaten te handelen van het instituut, kan tegen haar geen rechtsvervolging worden ingesteld en/of rust op haar geen enkele aansprakelijkheid, financieel of anderszins, met uitzondering van hetgeen uitdrukkelijk is vastgelegd in dit Verdrag.

Artikel 12

1 UNESCO kan te allen tijde een, door het instituut te financieren, evaluatie van de activiteiten van het instituut uitvoeren, teneinde vast te stellen of:

a. het instituut een wezenlijke bijdrage levert aan het goedgekeurde programma en de goedgekeurde begroting (C/5) op het tijdstip van de hernieuwing, met inbegrip van mondiale strategieën en actieplannen alsmede sectorale programmaprioriteiten;

b. de activiteiten die het instituut daadwerkelijk uitoefent beantwoorden aan de activiteiten vervat in dit Verdrag.

2 Ten behoeve van de verlenging van dit Verdrag zal UNESCO een evaluatie uitvoeren van de bijdrage van het instituut aan het goedgekeurde programma en de goedgekeurde begroting (C/5) van UNESCO op het tijdstip van de verlenging ervan, met inbegrip van mondiale strategieën en actieplannen alsmede sectorale programmaprioriteiten die door het instituut gefinancierd zullen worden.

3 UNESCO verplicht zich de regering en het instituut zo spoedig mogelijk een verslag van elke uitgevoerde evaluatie te doen toekomen en beschikbaar te stellen op de website van de betreffende programmasector.

4 Naar aanleiding van de uitkomsten van een evaluatie heeft elk van de partijen de keus te verzoeken om een herziening van de inhoud van dit Verdrag of het Verdrag te beëindigen, zoals voorzien in de artikelen 17 en 18.

Artikel 13

1 Het instituut mag zijn banden met UNESCO noemen. Het is bijgevolg toegestaan achter zijn naam „onder auspiciën van UNESCO” te gebruiken.

2 Het instituut is gerechtigd het logo van UNESCO of een versie ervan te voeren in briefhoofden en documenten, met inbegrip van elektronische documenten en websites in overeenstemming met de voorwaarden vastgesteld door de bestuursorganen van UNESCO.

3 Het gebruik van de naam en het logo van UNESCO in de naam, op briefhoofden en documenten, waaronder elektronische documenten en webpagina's van het instituut is ten strengste verboden indien er geen geldige overeenkomst met UNESCO is.

Artikel 14

Wat het Koninkrijk der Nederlanden betreft, is dit Verdrag van toepassing op het Europese deel van Nederland.

Artikel 15

Na ondertekening door de partijen treedt dit Verdrag in werking, zodra de regering UNESCO er schriftelijk van in kennis heeft gesteld dat aan alle formaliteiten uit hoofde van het nationale recht van het Koninkrijk der Nederlanden is voldaan. De datum van ontvangst door UNESCO van de laatste kennisgeving wordt aangemerkt als de datum van de inwerkingtreding van dit Verdrag. In het geval dat dit Verdrag op 26 juli 2024 nog niet in werking is getreden, wordt het vanaf die datum voorlopig toegepast, in afwachting van de inwerkingtreding ervan.

Artikel 16

Dit Verdrag wordt gesloten voor een tijdvak van acht (8) jaar, te rekenen vanaf de inwerkingtreding of voorlopige toepassing ervan. Dit Verdrag wordt verlengd of beëindigd op basis van een besluit van de Uitvoerende Raad na een aanbeveling door de Directeur-Generaal van UNESCO.

Artikel 17

1 Elk van de partijen is gerechtigd dit Verdrag eenzijdig op te zeggen.

2 De opzegging treedt in werking dertig dagen na ontvangst van de kennisgeving van een van de partijen aan de ander.

3 In het geval dat ofwel dit Verdrag ofwel het Memorandum van Overeenstemming tussen UNESCO en het instituut wordt opgezegd, worden zowel dit Verdrag als het Memorandum van Overeenstemming op dezelfde datum beëindigd.

Artikel 18

Dit Verdrag kan door middel van schriftelijke overeenstemming tussen de partijen worden gewijzigd. Een dergelijke wijziging treedt in werking in overeenstemming met de bepalingen van artikel 15 van dit Verdrag.

Artikel 19

Elk geschil tussen UNESCO en de regering inzake de uitlegging of toepassing van dit Verdrag, wordt beslecht door overleg of een andere passende methode die de partijen overeenkomen.

Artikel 20

Niets in of met betrekking tot dit Verdrag wordt beschouwd als het doen van afstand van de voorrechten en immuniteiten van UNESCO.
