Article 1

1 In this Agreement, “UNESCO” refers to the United Nations Educational, Scientific and Cultural Organization.

2 “Government” means the Government of the Netherlands.

3 “Centre” means the International Groundwater Resources Assessment Centre (IGRAC).

4 “UNESCO-IHP” refers to UNESCO’s International Hydrological Programme.

Article 2

The Government agrees to take, in the course of the year 2017, any measures that may be required for the continuation of the Centre in the Netherlands as provided for under the present Agreement.

Article 3

The purpose of this Agreement is to define the terms and conditions governing collaboration between UNESCO and the Government and also the rights and obligations stemming therefrom for the Parties.

Article 4

1 The Centre shall be independent of UNESCO, and shall operate and act under Dutch law as an independent organization.

2 The Government shall ensure that the Centre enjoys within its territory the functional autonomy necessary for the execution of its activities and the legal capacity:

to contract;

to institute legal proceedings; and,

to acquire and dispose of movable and immovable property.

Article 5

The constitutive act of the Centre shall include provisions describing precisely:

a) the legal status granted to the Centre, within the national legal system, the legal capacity necessary to exercise its functions and to receive funds obtain payments for services rendered, and acquire all means necessary for its functioning;

b) a governing structure for the Centre allowing UNESCO representation within its Governing Board.

Article 6

The mission of the Centre is to contribute to world-wide availability of relevant information and knowledge on the groundwater resources of the world, with particular emphasis on developing countries, in order to support sustainable utilisation and management of the groundwater resources, to promote the role of groundwater in integrated water resources planning and to elucidate the impact of groundwater on the ecosystems of the Earth. The main objectives of the Centre shall be:

1. To contribute to achieving the Strategic Objectives of UNESCO and in particular to the implementation of the UNESCO IHP programme through contribution to availability of relevant information and knowledge on groundwater resources of the world.

2. To promote sustainable groundwater resources utilisation and management by developing tools to facilitate global exchange of knowledge in accordance with UNESCO’s Open Access Policy.

The Centre will continue to pursue in particular the following specific objectives:

a) Facilitate and promote groundwater monitoring and assessment, particularly at regional and global level;

b) Develop procedures and methodologies for collection and processing of groundwater related data and information necessary for informed groundwater management;

c) Contribute to the development of a Global Groundwater Information System;

d) Support UNESCO-IHP in carrying out groundwater related activities with all its partners in the promotion of groundwater related data compilation at the regional and global level;

e) Increase public awareness on groundwater resources sustainable use, and provide technical support in the area of media communication on this subject.

3. The Centre shall pursue the above objectives and perform the above-mentioned functions in close coordination with UNESCO-IHP.

Article 7

1 The Centre shall be guided and overseen by a Governing Board which shall include:

a) a representative of the Government or his/her appointed representative, who will be the Chairperson;

b) representatives of Member State(s), which have sent to the Centre notification for membership, in accordance with the stipulations of article 10, paragraph 2 and have expressed interest in being represented on the Board and substantially contributing to the activities of the Centre;

c) a representative of the Director-General of UNESCO;

d) representatives from regional, international and intergovernmental organizations that are able to contribute to the activities of the Centre.

2 The Governing Board shall:

a) approve the long-term and medium-term programmes of the Centre;

b) approve the annual work plan of the Centre, including the staffing table;

c) examine the annual reports, including biennial self-assessment reports of the Centre’s contribution to UNESCO’s programme objectives;

d) examine the periodic independent audit reports of the financial statements of the Centre and monitor the provision of such accounting records necessary for the preparation of financial statements;

e) adopt the rules and regulations and determine the financial, administrative and personnel management procedures for the Centre in accordance with the laws of the Netherlands;

f) decide on the participation of intergovernmental organizations and international organizations in the work of the Centre.

3 The Governing Board shall meet in ordinary session at regular intervals, at least once every calendar year; it shall meet in extraordinary session if convened by its Chairperson, either on his or her initiative or at the request of the Director-General of UNESCO or of the majority of its members.

4 The Governing Board will follow its own rules of procedure as decided at its first meeting.

Article 8

1 UNESCO may provide assistance, as needed, in the form of technical assistance for the programme activities of the Centre, in accordance with the strategic goals and objectives of UNESCO by:

a) providing the assistance of its experts in the specialized fields of the Centre;

b) engaging in temporary staff exchanges when appropriate, whereby the staff concerned will remain on the payroll of the dispatching organizations;

c) seconding members of its staff temporarily, as may be decided by the Director-General on an exceptional basis if justified by the implementation of a joint activity/project within a strategic programme priority area;

d) encouraging intergovernmental and non-governmental financial entities, as well as member states of UNESCO, to provide financial and technical assistance and to propose appropriate projects to the Centre, and by facilitating contacts with other international organizations relevant to the functions of the Centre;

e) providing the Centre with IHP publications and other pertinent materials and disseminating information on the activities of the Centre via the UNESCO-IHP website, newsletters and other mechanisms at its disposal;

f) participating, when appropriate, in the scientific and training meetings held by the Centre. The costs of such participation will be borne by the Centre.

2 In all the cases listed above, such assistance shall not be undertaken except within the provisions of UNESCO’s programme and budget, and UNESCO will provide Member States with accounts relating to the use of its staff and associated costs.

3 UNESCO may contract the Centre to implement concrete programme activities envisaged in UNESCO’s approved work plans in accordance with UNESCO’s rules and regulations.

Article 9

1 The Government shall provide resources, either financial or in kind, needed for the administration and proper functioning of the Centre.

2 The Government thereto undertakes to make available to the Centre an annual subsidy of 400 000 Euro (four hundred thousand Euros) per year until 31st December 2021.

Article 10

1 The Centre shall encourage the participation of Member States and Associate Members of UNESCO which, by their common interest in the objectives of the Centre, desire to cooperate with the Centre.

2 Member States and Associate Members of UNESCO wishing to participate in the Centre’s activities, as provided for under the present Agreement, shall send to the Centre notification to this effect. The Centre shall inform the Parties to the agreement and other Member States of the receipt of such notifications.

Article 11

As the Centre is legally separate from UNESCO, the latter shall not be legally responsible for the acts or omissions of the Centre, and shall not be subject to any legal process, and/or bear no liabilities of any kind, be they financial or otherwise, with the exception of the provisions expressly laid down in the present Agreement.

Article 12

1 UNESCO may, at any time, carry out an evaluation of the activities of the Centre in order to ascertain whether:

a) the Centre makes a significant contribution to UNESCO’s strategic programme objectives and expected results aligned with the four-year programmatic period of C/5 document (Programme and Budget), including the two global priorities of UNESCO, and related sectoral or programme priorities and themes;

b) the activities effectively pursued by the Centre are in conformity with those set out in the present Agreement.

2 UNESCO shall, for the purpose of the review of this Agreement, conduct an evaluation of the contribution of the Centre to UNESCO’s strategic programme objectives, to be funded by the Government or the Centre.

3 UNESCO undertakes to submit to the Government, at the earliest opportunity, a report on any evaluation conducted.

4 Following the results of an evaluation, each of the Parties shall have the option of requesting a revision of its contents or of denouncing the Agreement, as envisaged in Articles 17 and 18.

Article 13

1 The Centre may mention its affiliation with UNESCO. It may therefore use after its title the mention “under the auspices of UNESCO”.

2 The Centre is authorized to use the UNESCO logo or a version thereof on its letter headed paper and documents including electronic documents and web pages in accordance with the conditions established by the governing bodies of UNESCO.

Article 14

With respect to the Kingdom of the Netherlands, this Agreement shall apply to the European part of the Netherlands.

Article 15

This Agreement shall enter into force, following its signature by the Parties, when they have informed each other in writing that all the formalities required to that effect by the domestic law of the Kingdom of the Netherlands and by UNESCO’s internal regulations have been completed. The date of receipt of the last notification shall be deemed to be the date of entry into force of the present Agreement.

Article 16

This Agreement will expire the 31st December 2021. The Agreement shall be renewed upon common agreement between the Parties once the Executive Board made its comments based on the results of the renewal assessment provided by the Director-General.

Article 17

1 Each of the Parties shall be entitled to denounce the present Agreement unilaterally.

2 The denunciation shall take effect on the thirtieth day following the receipt of the notification sent by one of the Parties to the other.

Article 18

This Agreement may be revised by written consent between the Government and UNESCO.

Article 19

1 Any dispute between UNESCO and the Kingdom of the Netherlands concerning the interpretation or application of this Agreement, if not settled by negotiation or any other appropriate method agreed to by the Parties within three months after one Party giving notice to the other Party, shall be submitted for final decision to an arbitration tribunal. The tribunal shall be composed of three members, one of whom shall be appointed by the Government, another by the Director-General of UNESCO, and a third, who shall preside over the tribunal, shall be chosen jointly by the first two. If the two arbitrators cannot agree on the choice of a third, the appointment shall be made by the President of the International Court of Justice. The language of the arbitration will be English.

2 The tribunal’s decision shall be final.

Artikel 2

De regering stemt ermee in in de loop van 2017 maatregelen te nemen die nodig kunnen zijn voor de voortzetting van het centrum in Nederland, zoals voorzien in dit Verdrag.

Artikel 3

Doel van het Verdrag is de voorwaarden te formuleren voor de samenwerking tussen UNESCO en de regering, alsmede de daaruit voortvloeiende rechten en verplichtingen van de partijen.

Artikel 4

1 Het centrum is onafhankelijk van UNESCO en opereert en treedt op overeenkomstig het Nederlandse recht als een onafhankelijke organisatie.

2 De regering ziet erop toe dat het centrum op haar grondgebied de functionele autonomie geniet die noodzakelijk is voor het verrichten van zijn activiteiten en beschikt over de handelingsbevoegdheid:

overeenkomsten te sluiten;

rechtsgedingen in te stellen; en

roerende en onroerende zaken te verwerven en te vervreemden.

Artikel 5

De oprichtingsakte van het centrum omvat bepalingen met exacte omschrijvingen van:

a. de rechtspositie die het centrum binnen het nationale rechtssysteem wordt toegekend en de bevoegdheden die nodig zijn voor het vervullen van zijn taken en het ontvangen van middelen, betalingen voor verleende diensten en het verwerven van alle middelen voor zijn functioneren;

b. de organisatiestructuur voor het centrum die voorziet in vertegenwoordiging van UNESCO in zijn Raad van Bestuur.

Artikel 6

De missie van het centrum is bijdragen aan de wereldwijde beschikbaarheid van relevante informatie over en kennis van de mondiale grondwatervoorraden, met bijzondere nadruk op ontwikkelingslanden, teneinde duurzaam gebruik en beheer van de grondwatervoorraden te ondersteunen, de rol van grondwater binnen integraal waterbeheer te bevorderen en het belang van grondwater voor de ecosystemen van de aarde te verduidelijken. De belangrijkste doelstellingen van het centrum zijn:

1. Bij te dragen aan de verwezenlijking van de strategische doelen van UNESCO en in het bijzonder aan de implementatie van het UNESCO IHP-programma door bij te dragen aan de beschikbare relevante informatie en kennis ter zake van de mondiale grondwatervoorraden.

2. Duurzaam gebruik en beheer van grondwatervoorraden te bevorderen door tools te ontwikkelen om de mondiale uitwisseling van kennis te vergemakkelijken in overeenstemming met het Open Access Policy van UNESCO.

Het centrum blijft de volgende doelen in het bijzonder nastreven:

a. faciliteren en bevorderen van de monitoring en meting van grondwater, met name op regionaal en mondiaal niveau;

b. ontwikkelen van procedures en methodes voor het verzamelen en bewerken van grondwatergerelateerde gegevens en informatie nodig voor gefundeerd grondwaterbeheer;

c. bijdragen aan de ontwikkeling van een wereldwijd grondwaterinformatiesysteem;

d. UNESCO-IHP ondersteunen bij de uitvoering van grondwatergerelateerde activiteiten met al zijn partners bij het stimuleren van het compileren van grondwatergerelateerde gegevens op regionaal en mondiaal niveau;

e. bevorderen van publiek bewustzijn rond het duurzaam gebruik van grondwatervoorraden en het bieden van technische ondersteuning op het gebied van mediacommunicatie over dit thema.

3. Het centrum zet zich in voor deze doelstellingen en verricht de bovengenoemde taken in nauwe samenwerking met UNESCO-IHP.

Artikel 7

1 Het centrum wordt geleid door en staat onder toezicht van een Raad van Bestuur bestaande uit:

a. een vertegenwoordiger van de regering of zijn benoemde vertegenwoordiger, die optreedt als voorzitter;

b. vertegenwoordigers van de lidstaat/lidstaten die het centrum in overeenstemming met de bepalingen van artikel 10, tweede lid, een kennisgeving van lidmaatschap hebben toegezonden en blijk hebben gegeven van de wens te worden vertegenwoordigd in de Raad van Bestuur en wezenlijk bij te dragen aan de activiteiten van het centrum;

c. een vertegenwoordiger van de Directeur-Generaal van UNESCO;

d. vertegenwoordigers van regionale, internationale en intergouvernementele organisaties die in staat zijn bij te dragen aan de activiteiten van het centrum.

2 De Raad van Bestuur:

a. verleent goedkeuring aan de programma’s van het centrum voor de lange en middellange termijn;

b. verleent goedkeuring aan het jaarplan voor de werkzaamheden van het centrum, met inbegrip van het personeelsbestand;

c. bestudeert de jaarverslagen, met inbegrip van een tweejaarlijkse evaluatie van de bijdrage van het centrum aan de programmadoelstellingen van UNESCO;

d. bestudeert de periodieke onafhankelijke accountantsrapporten van de financiële jaarverslagen van het centrum en monitort de toelevering van dergelijke financiële rapporten die nodig zijn voor de opstelling van de financiële jaarverslagen;

e. neemt regels en voorschriften aan en stelt de financiële en administratieve procedures alsmede procedures voor het personeelsbeheer voor het centrum vast in overeenstemming met de wetgeving van Nederland;

f. besluit over de deelname van intergouvernementele organisaties en internationale organisaties aan het werk van het centrum.

3 De Raad van Bestuur komt met regelmatige tussenpozen en ten minste eenmaal per kalenderjaar in gewone zitting bijeen; hij kan in buitengewone zitting bijeenkomen wanneer de voorzitter, hetzij op diens eigen initiatief, hetzij op verzoek van de Directeur-Generaal van UNESCO of de meerderheid van zijn leden de Raad bijeenroept.

4 De Raad van Bestuur volgt zijn eigen reglement van orde, zoals vastgesteld tijdens zijn eerste zitting.

Artikel 8

1 UNESCO kan wanneer zulks nodig is assistentie verlenen in de vorm van technische ondersteuning voor de programma-activiteiten van het centrum in overeenstemming met de strategische doelen en doelstellingen van UNESCO door:

a. de assistentie van haar deskundigen ter beschikking te stellen op het gespecialiseerde gebied van het centrum;

b. waar nodig deel te nemen aan tijdelijke personeelsuitwisselingen, waarbij de medewerkers op de loonlijst van de zendende organisaties blijven;

c. zijn medewerkers tijdelijk te detacheren, waartoe de Directeur-Generaal bij uitzondering kan besluiten indien zulks gerechtvaardigd wordt door de implementatie van een gemeenschappelijk(e) activiteit of project op een prioritair strategisch programmaterrein;

d. intergouvernementele en non-gouvernementele financiële entiteiten alsmede lidstaten van UNESCO aan te moedigen financiële en technische bijstand te verschaffen en passende projecten voor te stellen aan het centrum en door contacten te faciliteren met andere internationale organisaties die relevant zijn voor de functies van het centrum;

e. het centrum te voorzien van IHP-publicaties en ander relevant materiaal en het verspreiden van informatie over de activiteiten van het centrum via de UNESCO-IHP-website, nieuwsbrieven en andere mechanismen waarover zij beschikt;

f. waar passend deel te nemen aan wetenschappelijke en trainingsbijeenkomsten die het centrum organiseert. De kosten van deze deelname worden gedragen door het centrum.

2 In al de bovengenoemde gevallen wordt dergelijke assistentie uitsluitend verleend binnen de begrotingen en de bepalingen van het programma van UNESCO en UNESCO doet de lidstaten verslagen toekomen van de inzet van zijn medewerkers en de daaraan verbonden kosten.

3 UNESCO kan het centrum inschakelen voor de implementatie van concrete programma-activiteiten voorzien in de goedgekeurde werkplannen van UNESCO in overeenstemming met de regels en voorschriften van UNESCO.

Artikel 9

1 De regering verschaft middelen, hetzij financieel, hetzij in natura, die nodig zijn voor het beheer en naar behoren functioneren van het centrum.

2 De regering verplicht zich daarom aan het centrum tot aan 31 december 2021 een jaarlijkse subsidie beschikbaar te stellen van 400.000 (vierhonderdduizend) euro per jaar.

Artikel 10

1 Het centrum moedigt de deelname aan van lidstaten en geassocieerde leden van UNESCO, die vanwege hun gezamenlijk belang bij de doelstellingen van het centrum wensen samen te werken met het centrum.

2 Lidstaten en geassocieerde leden van UNESCO die wensen deel te nemen aan de activiteiten van het centrum zoals voorzien in dit Verdrag, zenden het centrum daartoe een kennisgeving. Het centrum stelt de partijen bij het Verdrag en de andere lidstaten in kennis van de ontvangst van dergelijke kennisgevingen.

Artikel 11

Aangezien het centrum juridisch los staat van UNESCO, is laatstgenoemde niet aansprakelijk voor het handelen of nalaten te handelen van het centrum, kan tegen haar geen rechtsvervolging worden ingesteld en rust op haar geen enkele aansprakelijkheid, financieel of anderszins, met uitzondering van hetgeen uitdrukkelijk is vastgelegd in dit Verdrag.

Artikel 12

1 UNESCO kan de activiteiten van het centrum te allen tijde evalueren teneinde vast te stellen of:

a. het centrum een wezenlijke bijdrage levert aan de strategische programmadoelstellingen en verwachte resultaten van UNESCO afgestemd op de vierjaarlijkse-programmatermijn van het C/5 document (Programma en Begroting), met inbegrip van de twee mondiale prioriteiten van UNESCO en de daarmee verbonden sectorale en programmaprioriteiten en thema’s;

b. de activiteiten die het centrum daadwerkelijk uitoefent beantwoorden aan de activiteiten vervat in dit Verdrag.

2 Ten behoeve van de herziening van dit Verdrag zal UNESCO de bijdrage van het centrum aan het strategisch programma van UNESCO evalueren, hetgeen gefinancierd wordt door de regering of het centrum.

3 UNESCO verplicht zich de regering zo spoedig mogelijk een verslag van elke uitgevoerde evaluatie te doen toekomen.

4 Naar aanleiding van de uitkomsten van de evaluatie heeft elk van de partijen de keus het Verdrag te beëindigen of om een herziening van de inhoud te verzoeken, zoals voorzien in de artikelen 17 en 18.

Artikel 13

1 Het centrum mag zijn banden met UNESCO noemen. Het is bijgevolg toegestaan achter zijn naam „onder auspiciën van UNESCO” te gebruiken.

2 Het centrum is gerechtigd het logo van UNESCO of een versie ervan te voeren in briefhoofden en documenten, met inbegrip van elektronische documenten en webpagina’s in overeenstemming met de voorwaarden vastgesteld door de bestuursorganen van UNESCO.

Artikel 14

Wat het Koninkrijk der Nederlanden betreft, is dit Verdrag van toepassing op het Europese deel van Nederland.

Artikel 15

Dit Verdrag treedt in werking na ondertekening door de partijen, zodra zij elkaar er schriftelijk van in kennis hebben gesteld dat aan alle formaliteiten uit hoofde van het nationale recht van het Koninkrijk der Nederlanden en van de interne voorschriften van UNESCO daaromtrent is voldaan. De datum van ontvangst van de laatste kennisgeving wordt aangemerkt als de datum van de inwerkingtreding van dit Verdrag.

Artikel 16

Dit Verdrag eindigt op 31 december 2021. Het Verdrag wordt verlengd na onderlinge overeenstemming tussen de partijen zodra de Uitvoerende Raad zijn zienswijze heeft gegeven op de uitkomsten van de beoordeling van de verlenging verschaft door de Directeur-Generaal.

Artikel 17

1 Elk van de partijen is gerechtigd dit Verdrag eenzijdig op te zeggen.

2 De opzegging treedt in werking dertig dagen na ontvangst van de kennisgeving van een van de partijen aan de ander.

Artikel 18

Dit Verdrag kan door middel van schriftelijke overeenstemming tussen de regering en UNESCO worden gewijzigd.

Artikel 19

1 Elk geschil tussen UNESCO en het Koninkrijk der Nederlanden inzake de uitlegging of toepassing van dit Verdrag, indien het niet kan worden beslecht door overleg of een andere passende methode die de partijen binnen drie maanden na de kennisgeving van de ene partij aan de andere overeenkomen, wordt voor een definitieve uitspraak voorgelegd aan een scheidsgerecht. Het scheidsgerecht bestaat uit drie leden, van wie een wordt benoemd door de regering, een andere door de Directeur-Generaal van UNESCO en de derde, die het scheidsgerecht zal voorzitten, wordt gekozen door de eerste twee gezamenlijk. Indien de twee scheidsrechters geen overeenstemming kunnen bereiken over de keuze van de derde, wordt de benoeming verricht door de President van het Internationale Gerechtshof. De voertaal tijdens de arbitrage is het Engels.
